【摘要】：本文以我國2012～2014年A股非金融類上市公司為樣本,實證研究不同效力的公司治理是否對自由現金流的運用具有約束作用。研究結果表明:上市公司中存在自由現金流的代理問題,自由現金流與企業(yè)績效負相關;董事會規(guī)模、獨立董事以及管理層持股能夠顯著降低濫用自由現金流對企業(yè)績效造成的負面影響;股權集中度沒能減弱這種負相關關系。
[Abstract]:This paper, based on the sample of the non financial listed companies of A shares in China for 2012~2014 years, empirically studies whether the corporate governance of different effectiveness has a constraint on the use of free cash flow. The results show that the agency problem of free cash flow exists in the listed companies, the free cash flow is negatively related to the enterprise performance; the board size, the independent director Managerial ownership can significantly reduce the negative impact of abuse of free cash flow on corporate performance; ownership concentration does not reduce this negative correlation.
