【摘要】：本文以我國2011-2015年滬深兩市A股類上市公司為研究樣本,在委托代理理論分析框架中,考察了董事長任期對技術創(chuàng)新績效的影響及其制度因素的調節(jié)作用。研究發(fā)現(xiàn),技術創(chuàng)新績效與董事長既有任期呈倒U型關系,與預期任期呈正相關關系;股權制衡、報酬激勵機制和市場競爭在董事長任期的影響中均有一定的調節(jié)作用。區(qū)分了企業(yè)產(chǎn)權性質后發(fā)現(xiàn),董事長任期對技術創(chuàng)新績效的影響在國有樣本中顯著于非國有樣本;股權制衡、報酬激勵機制和市場競爭的調節(jié)作用在非國有樣本中均好于國有樣本。這些研究結論表明,合理選擇董事長任期、完善制度環(huán)境、深化國企產(chǎn)權改革對抑制董事長的道德風險,充分發(fā)揮董事長在企業(yè)技術創(chuàng)新中的作用有著重要意義。
[Abstract]:Taking the A-share listed companies of Shanghai and Shenzhen stock markets in China from 2011-2015 as the research sample, in the framework of principal-agent theory, this paper examines the influence of chairman's tenure on the performance of technological innovation and the regulatory role of institutional factors. It is found that the performance of technological innovation is inversely U-shaped and positively correlated with the expected tenure of the chairman, and equity balance, reward incentive mechanism and market competition all play a moderating role in the influence of the chairman's tenure. After distinguishing the nature of the property right of the enterprise, it is found that the influence of chairman's tenure on the performance of technological innovation is more significant in the state-owned sample than that in the non-state-owned sample. The regulation of reward incentive mechanism and market competition is better in non-state-owned samples than in state-owned samples. These conclusions show that it is of great significance to choose the chairman's term of office, perfect the system environment and deepen the reform of state-owned enterprises' property right to restrain the chairman's moral hazard and give full play to the chairman's role in the enterprise's technological innovation.
