【摘要】：隨著科學(xué)技術(shù)的發(fā)展,電子化、信息化、網(wǎng)絡(luò)化已經(jīng)成了時代的標(biāo)簽,新經(jīng)濟(jì)浪潮強(qiáng)烈沖擊著傳統(tǒng)企業(yè)的發(fā)展。作為傳統(tǒng)行業(yè)的重要組成部分,服裝行業(yè)產(chǎn)業(yè)結(jié)構(gòu)落后,技術(shù)更新緩慢,已無法適應(yīng)時代的潮流。原材料價格上升,店鋪租金上漲,產(chǎn)品嚴(yán)重滯銷,存貨大量積壓,再加上電商平臺等新興產(chǎn)業(yè)的沖擊,我國服裝企業(yè)遭遇了發(fā)展瓶頸,尋找新的發(fā)展模式迫在眉睫。然而,由于傳統(tǒng)企業(yè)固有的局限性,尋求自我突破成效頗微。于是,跨界并購就成了傳統(tǒng)企業(yè)重獲生命力的有效途徑。通過跨界并購,傳統(tǒng)企業(yè)可以與新興產(chǎn)業(yè)相融合,吸收其優(yōu)質(zhì)資源和先進(jìn)技術(shù),為企業(yè)注入新鮮血液。百圓褲業(yè)并購跨境電商環(huán)球易購,是一次成功的跨界并購,使原本陷入經(jīng)營困境的百圓褲業(yè)開啟了蓬勃發(fā)展的新時代。本文對該并購案例進(jìn)行分析,首先對并購的相關(guān)文獻(xiàn)和理論、并購雙方的基本情況進(jìn)行介紹,結(jié)合并購背景和并購方案,總結(jié)其并購特點,主要表現(xiàn)為跨界并購、溢價并購。其次對并購動機(jī)、并購產(chǎn)生的協(xié)同效應(yīng)及并購績效進(jìn)行分析,并總結(jié)出百圓褲業(yè)跨界并購取得成功的因素和存在的問題。其中績效分析又分為市場績效分析和財務(wù)績效分析。市場績效分析采用事件研究法;財務(wù)績效分析采用財務(wù)比率法。而并購成功的因素主要總結(jié)為并購對象選擇合適和并購后對資源進(jìn)行有效整合。并購存在的問題主要為并購標(biāo)的估值偏高及并購后上市公司凈利率出現(xiàn)下滑,根據(jù)案例分析總結(jié)啟示并針對問題提出建議。本案例研究發(fā)現(xiàn),傳統(tǒng)服裝企業(yè)并購跨境電商等新興產(chǎn)業(yè),能夠推動服裝企業(yè)的轉(zhuǎn)型升級,有效的資源整合能夠給并購雙方帶來良好的協(xié)同效應(yīng),提高企業(yè)盈利能力,提升企業(yè)價值。面對當(dāng)前的經(jīng)營困境,傳統(tǒng)企業(yè)在難以實現(xiàn)自我突破的情況下,可以借鑒百圓褲業(yè)的經(jīng)驗,通過跨界并購實現(xiàn)企業(yè)的可持續(xù)發(fā)展。
[Abstract]:With the development of science and technology, electronic technology, information technology, network has become the label of the times, the new economic wave strongly impact the development of traditional enterprises. As an important part of traditional industries, the industrial structure of clothing industry is backward. The technology renewal is slow and can not adapt to the trend of the times. The prices of raw materials are rising, the rent of shops is rising, the products are badly unsalable, the stock is overstocking, and the impact of the new industries such as e-commerce platform has caused the clothing enterprises in our country to encounter the bottleneck of development. It is urgent to find a new development model. However, due to the inherent limitations of traditional enterprises, the self-breakthrough effect is rather weak. Thus, cross-border mergers and acquisitions have become an effective way for traditional enterprises to regain their vitality. Through cross-border mergers and acquisitions, cross-border mergers and acquisitions have become an effective way for traditional enterprises to regain their vitality. Traditional enterprises can merge with emerging industries, absorb their high-quality resources and advanced technology, and inject fresh blood into their enterprises. This paper analyzes the case of M & A, first introduces the relevant literature and theory of M & A, and introduces the basic situation of both parties. Combining with the background of M & A and the plan of M & A, the paper summarizes the characteristics of M & A, which are mainly shown as cross-border M & A, premium M & A. secondly, it analyzes the motive of M & A, the synergistic effect of M A and the performance of M A. And summarizes the success factors and existing problems of cross-border M & A in Baiyuan Pants Industry. The performance analysis is divided into market performance analysis and financial performance analysis. The market performance analysis adopts event research method. The financial performance analysis adopts the financial ratio method. The main factors of successful M & A are the suitable selection of M & A objects and the effective integration of resources after M A. The main problems in M & A are the high valuation of M & A bid and the M & A. After that, the net interest rate of listed companies declined, This case study finds that traditional clothing enterprises can promote the transformation and upgrade of clothing enterprises by merging cross-border e-commerce industries. Effective resource integration can bring good synergy effect to both sides of merger and acquisition, improve the profitability of enterprises and enhance the value of enterprises. In the face of the current operating difficulties, traditional enterprises are difficult to achieve self-breakthrough. We can learn from the experience of Baiyuan trousers industry and realize the sustainable development of enterprises through cross-border mergers and acquisitions.
