商業(yè)銀行并購(gòu)績(jī)效評(píng)價(jià)研究

【摘要】:近年來(lái)全球高新電子技術(shù)高速迅猛發(fā)展,各國(guó)在金融領(lǐng)域?qū)Ω黝愘Y本的限制減少,金融管制逐漸放松。國(guó)內(nèi)外各大商業(yè)銀行為實(shí)現(xiàn)低成本的國(guó)際擴(kuò)張,紛紛采用海外并購(gòu)實(shí)現(xiàn)業(yè)務(wù)延伸,同時(shí)推動(dòng)了虛擬金融資本的全球化。隨著我國(guó)改革開放的進(jìn)一步深入發(fā)展,我國(guó)在金融經(jīng)濟(jì)發(fā)展領(lǐng)域?qū)嵭辛藨?zhàn)略轉(zhuǎn)變,積極推動(dòng)“引進(jìn)來(lái)”和“走出去”相結(jié)合的適合我國(guó)目前發(fā)展階段的經(jīng)濟(jì)政策。在面對(duì)歐美發(fā)達(dá)國(guó)家積極開拓海外并購(gòu)業(yè)務(wù)的背景下,我國(guó)商業(yè)銀行,尤其是大型國(guó)有控股銀行也積極的進(jìn)行了業(yè)務(wù)拓展,在發(fā)展初期我國(guó)商業(yè)銀行的并購(gòu)都是由于政府進(jìn)行主導(dǎo)的,因此,我國(guó)商業(yè)銀行在市場(chǎng)化并購(gòu)中經(jīng)驗(yàn)不足。為了增加自己的市場(chǎng)份額,可以參考已有案例并結(jié)合我國(guó)當(dāng)前經(jīng)濟(jì)發(fā)展現(xiàn)狀,開展適合自身發(fā)展的并購(gòu)業(yè)務(wù)。本篇文章就是追溯國(guó)內(nèi)外相關(guān)的研究成果,并在這個(gè)研究基礎(chǔ)上,同時(shí)融合我國(guó)商業(yè)銀行并購(gòu)上的實(shí)際特點(diǎn),選取了兩個(gè)相對(duì)應(yīng)的比較有典型意義的案例來(lái)進(jìn)行深入分析,通過相關(guān)的績(jī)效評(píng)價(jià)方法找出我國(guó)商業(yè)銀行在并購(gòu)中所存在的問題和缺點(diǎn),并針對(duì)這些缺點(diǎn),進(jìn)行分析從而提出相關(guān)建議。
[Abstract]:In recent years, the rapid development of global high-tech electronic technology, countries in the financial field to reduce the restrictions on all kinds of capital, financial regulation gradually relaxed. In order to achieve low-cost international expansion, the major commercial banks at home and abroad have adopted overseas mergers and acquisitions to realize business extension, which has promoted the globalization of virtual financial capital. With the further development of China's reform and opening up, China has implemented a strategic transformation in the field of financial and economic development, actively promoting the combination of "introduction" and "going out", which is suitable for the present development stage of our country. In the face of the background that developed countries in Europe and the United States have actively opened up overseas mergers and acquisitions, our commercial banks, especially large state-owned holding banks, have also actively carried out business expansion. In the early stage of development, the M & A of commercial banks in our country is due to the government leading, therefore, the commercial banks in our country are inexperienced in market M & A. In order to increase their market share, we can refer to the existing cases and combine the current economic development of our country to develop the M & A business suitable for our own development. This article is to trace back to domestic and foreign related research results, and on the basis of this research, at the same time to integrate the actual characteristics of China's commercial banks mergers and acquisitions, select two corresponding cases with typical significance for in-depth analysis. Through the relevant performance evaluation methods to find out the problems and shortcomings of Chinese commercial banks in M & A, and to analyze these shortcomings, and put forward the relevant recommendations.
