【摘要】：正并購(gòu)重組是銀行業(yè)擴(kuò)大資產(chǎn)規(guī)模、拓展經(jīng)營(yíng)領(lǐng)域、提升競(jìng)爭(zhēng)能力、謀求迅速發(fā)展的主要路徑。通過(guò)并購(gòu)重組建立具有超強(qiáng)競(jìng)爭(zhēng)力的金融超市或銀企集團(tuán)是世界潮流。我國(guó)目前還沒(méi)有規(guī)制銀行并購(gòu)行為的商業(yè)銀行并購(gòu)法,現(xiàn)存的《民法通則》《公司法》《商業(yè)銀行法》等僅從不同角度對(duì)我國(guó)銀行業(yè)并購(gòu)有一定涉及和調(diào)整�？傮w說(shuō)來(lái),我國(guó)法律對(duì)銀行并購(gòu)問(wèn)題的規(guī)范過(guò)于簡(jiǎn)單、有關(guān)規(guī)則殘缺不齊、并購(gòu)規(guī)則在監(jiān)管有效性和合理性方面的問(wèn)
[Abstract]:M & A is the main way for banks to expand their assets, expand their fields of operation, enhance their competitiveness and seek rapid development. It is the trend of the world to establish super competitive financial supermarket or bank-enterprise group through M & A. At present, there is no commercial bank merger and acquisition law to regulate the bank M & A behavior in China. The existing General principles of Civil Law, Company Law, Commercial Bank Law and so on only involve and adjust the banking M & A in China from different angles. Generally speaking, the regulation of bank M & A in our country is too simple, the relevant rules are incomplete, and the regulation of M & A is effective and reasonable.
