【摘要】：基于我國(guó)創(chuàng)業(yè)板發(fā)行審核的相關(guān)數(shù)據(jù),從審核機(jī)構(gòu)、主承銷(xiāo)商、擬上市企業(yè)三方面來(lái)尋求影響企業(yè)通過(guò)創(chuàng)業(yè)板發(fā)行審核的主要因素,從而評(píng)估證監(jiān)會(huì)審核的公正性與有效性。研究發(fā)現(xiàn),主承銷(xiāo)商的聲譽(yù)、私募股權(quán)投資與風(fēng)險(xiǎn)投資的參與、家族控制對(duì)企業(yè)通過(guò)發(fā)行審核的可能性有正向影響,上市公司董事長(zhǎng)或總經(jīng)理的政治關(guān)聯(lián)與通過(guò)審核的可能性呈負(fù)相關(guān)關(guān)系,企業(yè)的財(cái)務(wù)狀況與融資需求、企業(yè)所持有的專(zhuān)利數(shù)目、研發(fā)投入占主營(yíng)業(yè)務(wù)收入的比例等對(duì)審核結(jié)果并沒(méi)有顯著影響。進(jìn)一步的分析還表明,證監(jiān)會(huì)的審核不存在明顯的尋租現(xiàn)象或地域歧視,但尚未能充分發(fā)揮篩選優(yōu)秀上市企業(yè)的職能,審核有效性有進(jìn)一步提升的空間。
[Abstract]:Based on the relevant data of the gem issuance review in China, from the three aspects of the audit institution, the main underwriter and the listed enterprise, the main factors that affect the enterprise through the gem issuance review are sought to evaluate the impartiality and effectiveness of the CSRC audit. Family control has a positive impact on the possibility of an enterprise through the issue of audit. The political association of the chairman of the listed company or the general manager is negatively related to the possibility of through the audit. The financial situation and financing needs of the enterprise, the number of patents held by the enterprise, the proportion of R & D investment in the main business income, and so on, do not show the results of the audit. The further analysis also shows that there is no obvious rent seeking or regional discrimination in the audit of the CSRC, but it has not yet fully played the function of screening the outstanding listed companies, and the validity of the audit is further improved.
