【摘要】：監(jiān)管套利是市場(chǎng)主體利用制度間的差異性或制度內(nèi)部的不一致性,為降低成本或獲得利潤(rùn)而設(shè)計(jì)的一系列交易。近年來許多重要的金融事件,無論是對(duì)沖基金掀起的金融風(fēng)暴,還是資本玩家設(shè)計(jì)的借殼上市,都可以從監(jiān)管套利這一角度找到邏輯支撐。監(jiān)管本質(zhì)上是一種強(qiáng)制性契約,監(jiān)管套利正是在監(jiān)管契約自身內(nèi)在特點(diǎn)的基礎(chǔ)上產(chǎn)生的一種必然結(jié)果。其有五種模式:從一個(gè)監(jiān)管主體轉(zhuǎn)到另一個(gè)監(jiān)管主體;從一種市場(chǎng)主體身份轉(zhuǎn)為另一種市場(chǎng)主體身份;從一種業(yè)務(wù)形式轉(zhuǎn)換成另一種業(yè)務(wù)形式;從一個(gè)時(shí)間段轉(zhuǎn)移到另一個(gè)時(shí)間段;從一種核算制度轉(zhuǎn)入另一種核算制度。
[Abstract]:Regulatory arbitrage is a series of transactions designed to reduce costs or make profits by taking advantage of the differences between systems or inconsistency within the system. Many important financial events have occurred in recent years, regardless of the financial turmoil caused by hedge funds. Or the backdoor listing designed by capital players can be supported logically from the perspective of regulatory arbitrage, which is essentially a mandatory contract. Regulatory arbitrage is an inevitable result on the basis of the inherent characteristics of regulatory contract. There are five modes of regulatory arbitrage: from one regulatory subject to another, from one market subject to another; From one business form to another business form; from one time period to another time period; from one accounting system to another accounting system.
