【摘要】：本文在對(duì)應(yīng)收賬款資產(chǎn)證券化分析的基礎(chǔ)上,對(duì)國(guó)內(nèi)首單貿(mào)易類應(yīng)收賬款資產(chǎn)證券化案例進(jìn)行了具體分析,其交易結(jié)構(gòu)設(shè)計(jì),風(fēng)險(xiǎn)控制要求以及資產(chǎn)證券化后的優(yōu)化財(cái)務(wù)結(jié)構(gòu)等方面都具有獨(dú)到之處。本文認(rèn)為,在我國(guó)目前企業(yè)融資手段單一、成本較高的情況下,資產(chǎn)證券化將可以適度改變和影響企業(yè)融資環(huán)境,降低企業(yè)融資成本,優(yōu)化財(cái)務(wù)結(jié)構(gòu);但在發(fā)展中,政府也需吸取次貸危機(jī)的經(jīng)驗(yàn)教訓(xùn),要加強(qiáng)管理,并優(yōu)化交易結(jié)構(gòu)設(shè)計(jì)及頂層設(shè)計(jì),為資產(chǎn)證券化市場(chǎng)創(chuàng)造良好的發(fā)展氛圍。
[Abstract]:Based on the analysis of asset securitization of accounts receivable, this paper analyzes the case of asset securitization of domestic first trade accounts receivable, and designs its transaction structure. The requirements of risk control and the optimization of financial structure after asset securitization are unique. This paper holds that asset securitization can appropriately change and influence the financing environment of enterprises, reduce the financing cost and optimize the financial structure of enterprises under the condition of the single financing means and high cost of enterprises in our country, but in the process of development, asset securitization can change and influence the financing environment of enterprises moderately, and optimize the financial structure. The government should also absorb the experience and lessons of the subprime mortgage crisis, strengthen management, optimize the design of transaction structure and top-level design, and create a good atmosphere for the development of asset securitization market.
