【摘要】：由于社會經(jīng)濟的快速發(fā)展，，知識產(chǎn)權(quán)在商業(yè)化的發(fā)展中變得越來越重要。專利權(quán)作為知識產(chǎn)權(quán)的重要內(nèi)容之一，其在企業(yè)的出資運營當(dāng)中所占據(jù)的比例逐漸增大，專利權(quán)出資過程中需要考慮的問題主要是專利權(quán)的出資形式及內(nèi)容、出資的風(fēng)險以及應(yīng)對的防范措施等等。本文以專利權(quán)出資作為入口，采用對比分析、文獻(xiàn)分析法、邏輯推理方法對專利權(quán)出資的風(fēng)險及進(jìn)行了系統(tǒng)的分析，并提出相關(guān)的法律措施進(jìn)行防范。本文在結(jié)構(gòu)上分為四大部分，分別是： 第一部分：專利權(quán)出資風(fēng)險的概述，首先介紹了什么叫專利權(quán)出資；接著闡述了專利權(quán)出資風(fēng)險的概念；再者論述了我國專利權(quán)出資的主要形式及各種出資形式可能帶來的風(fēng)險與弊端；最后則論述了我國相關(guān)法律法規(guī)對于專利權(quán)出資形式及內(nèi)容的規(guī)定。 第二部分：在該部分，主要分析了專利權(quán)出資過程中專利權(quán)自身的風(fēng)險的表現(xiàn)形式及其法律防范措施，主要有專利權(quán)的時效、地域風(fēng)險；瑕疵風(fēng)險以及評估風(fēng)險。而針對這種專利權(quán)出資的自身風(fēng)險，主要的應(yīng)對方法是加強對專利出資的審查，并要求出資人做出相關(guān)的承諾，且加強對專利權(quán)評估單位的責(zé)任。 第三部分：本人在該部分主要考慮了專利權(quán)出資轉(zhuǎn)讓過程中的問題，專利權(quán)出資轉(zhuǎn)讓過程中應(yīng)當(dāng)注重受讓人和債權(quán)人的相關(guān)法律權(quán)利，對受讓人和債權(quán)人的合法利益可能受到的風(fēng)險提出應(yīng)對措施。 第四部分：本人認(rèn)為專利權(quán)質(zhì)押過程中可能遇到的風(fēng)險，主要包括專利權(quán)質(zhì)押中的經(jīng)濟風(fēng)險、商業(yè)銀行承擔(dān)的風(fēng)險以及缺少風(fēng)險共擔(dān)機制的風(fēng)險，針對這些風(fēng)險，主要的應(yīng)對措施是對專利權(quán)進(jìn)行恰當(dāng)?shù)脑u價；采取專利權(quán)擔(dān)保與其他擔(dān)保相結(jié)合的方式質(zhì)押；以及建立質(zhì)押貸款的保理機制。
[Abstract]:With the rapid development of social economy, intellectual property has become more and more important in the development of commercialization. As one of the important contents of intellectual property right, the proportion of patent right in the enterprise's capital contribution is increasing gradually. The main problem to be considered in the process of patent investment is the form and content of patent investment. The risk of capital contribution and the preventive measures to deal with it, and so on. This paper takes the patent investment as the entrance, adopts the comparative analysis, the literature analysis method, the logical reasoning method to carry on the systematic analysis to the patent investment risk and proposes the related legal measure to carry on the guard. The structure of this paper is divided into four parts: the first part: the overview of the risk of patent investment, the first part introduces what is called patent investment, and then expounds the concept of the risk of patent investment. Thirdly, it discusses the main forms of patent investment in China and the risks and disadvantages that various forms of investment may bring. Finally, it discusses the provisions of the relevant laws and regulations on the form and content of patent investment. The second part: in this part, it mainly analyzes the manifestation of patent right itself risk in the process of patent investment and its legal prevention measures, mainly including patent limitation, regional risk, defect risk and evaluation risk. In view of the risk of this kind of patent investment, the main way to deal with it is to strengthen the examination of the patent investment, to ask the investor to make the relevant commitment, and to strengthen the responsibility of the patentee evaluation unit. The third part: in this part, I mainly consider the problems in the process of patent investment transfer, and should pay attention to the relevant legal rights of transferee and creditor in the process of patent investment transfer. Propose countermeasures to the possible risks to the legitimate interests of the transferee and creditor. The fourth part: I think the risks in the process of patent pledge mainly include the economic risk in patent pledge, the risk of commercial bank and the risk of lack of risk-sharing mechanism, aiming at these risks. The main countermeasures are the proper evaluation of the patent right; It adopts the way of combining patent guarantee with other security, and establishes the factoring mechanism of pledge loan.
