【摘要】：中國(guó)合作社發(fā)展從改造分散的個(gè)體經(jīng)濟(jì)開(kāi)始發(fā)展到高度集中三級(jí)所有的"大集體"經(jīng)濟(jì)模式,已背離了合作社集體所有的初衷。在社會(huì)化、市場(chǎng)化、產(chǎn)業(yè)化背景下,必須重新明確中國(guó)合作社的法律定位以及對(duì)其進(jìn)行制度重構(gòu)。中國(guó)合作社應(yīng)是以個(gè)人所有為基礎(chǔ)的共同所有制,是社會(huì)主義初級(jí)階段公有制經(jīng)濟(jì)的形式之一,必須在中國(guó)憲法中確立合作社的法律地位。合作社是市場(chǎng)經(jīng)濟(jì)中的一種"經(jīng)濟(jì)組織"形式,民法應(yīng)確立合作社的法人地位,并對(duì)合作社的內(nèi)外財(cái)產(chǎn)關(guān)系做出調(diào)整。在商法領(lǐng)域也應(yīng)有合作社的地位,根據(jù)各種合作社的性質(zhì)及特征,規(guī)定相應(yīng)的商事登記制度。本文根據(jù)對(duì)合作社的新的法律定位,對(duì)中國(guó)合作社制度進(jìn)行重構(gòu)。
[Abstract]:The development of Chinese co-operatives from the transformation of scattered individual economy to the highly centralized three-level "big collective" economic model has deviated from the original intention of cooperative collective ownership. Under the background of socialization, marketization and industrialization, it is necessary to redefine the legal position of Chinese cooperatives and reconstruct their systems. Chinese cooperatives should be joint ownership based on individual ownership and one of the forms of public ownership in the primary stage of socialism. The legal status of cooperatives must be established in the Chinese Constitution. The cooperative is a form of "economic organization" in the market economy. The civil law should establish the legal person status of the cooperative and adjust the relationship between the inside and outside property of the cooperative. There should also be cooperative status in the field of commercial law, according to the nature and characteristics of various cooperatives, the corresponding commercial registration system. According to the new legal orientation of cooperatives, this paper reconstructs the cooperative system in China.
