【摘要】： 隨著我國現(xiàn)代企業(yè)制度的推行和資本市場的發(fā)展,關聯(lián)公司這種企業(yè)之間的聯(lián)合已經(jīng)成為經(jīng)濟生活中的一種日益重要的經(jīng)濟現(xiàn)象和法律現(xiàn)象。有關公司的法律制度允許公司間簽訂企業(yè)協(xié)議,導致關聯(lián)公司大量出現(xiàn),公司結(jié)構(gòu)呈現(xiàn)多元化和復雜化,改變了傳統(tǒng)商法構(gòu)建的公司利益相關者之間的平衡關系。關聯(lián)公司的發(fā)展,帶來許多公司法難以解決的問題。關聯(lián)公司利用控制與從屬關系進行各種利益安排和關聯(lián)交易,控制公司利用其控制地位,濫用從屬公司的獨立人格,損害從屬公司及其中小股東和債權人的利益。公司法人制度已經(jīng)建立起來的當事人之間的權利義務關系出現(xiàn)利益失衡,這就需要建立新的法律機制,重新分配關聯(lián)公司當事人之間的權利義務,實現(xiàn)新的利益平衡。 我國公司法對關聯(lián)公司的關系僅作了原則性規(guī)定,不足以解決司法實踐中關聯(lián)公司存在的法律問題,傳統(tǒng)的法律規(guī)則已不適應現(xiàn)代經(jīng)濟發(fā)展的需要。因此,我國公司法應當建立和完善關聯(lián)公司關聯(lián)交易的法律責任制度,確立控制公司誠信義務法律責任制度、關聯(lián)信息披露制度、類別股東大會制度,完善股東直接訴訟制度,確立股東派生訴訟制度,借鑒經(jīng)濟發(fā)達國家確立的利益補償規(guī)則、深石規(guī)則、抵消禁止規(guī)則,形成關聯(lián)交易決策權的分立與制衡機制,構(gòu)成嚴密的規(guī)制關聯(lián)公司關聯(lián)交易的法律責任體系。
[Abstract]:With the implementation of modern enterprise system and the development of capital market in China, the association of affiliated companies has become an increasingly important economic and legal phenomenon in economic life. The legal system of relevant companies allows companies to sign enterprise agreements, which leads to the emergence of a large number of affiliated companies, the diversification and complexity of the corporate structure, and changes the balance between corporate stakeholders constructed by traditional commercial law. The development of affiliated companies brings many problems which are difficult to solve in company law. The affiliated company uses the control and subordinate relationship to carry on various kinds of benefit arrangement and the related party transaction, controls the company to use its control position, abuses the subordinate company independent personality, damages the subordinate company and its minority shareholders and the creditor's benefit. The relationship between the rights and obligations of the parties has been established, which requires the establishment of a new legal mechanism, the redistribution of the rights and obligations of the related company parties, and the realization of a new balance of interests. The company law of our country has only made the principle stipulation to the relation of the affiliated company, it is not enough to solve the legal problem of the affiliated company in the judicial practice, the traditional legal rule has not been adapted to the needs of the modern economic development. Therefore, the company law of our country should establish and perfect the legal liability system of related party transactions of affiliated companies, establish the legal liability system of controlling the company's bona fide obligation, the system of disclosure of related information, the system of general meeting of category shareholders, and perfect the system of direct action of shareholders. To establish the shareholder derivative litigation system, to learn from the benefit compensation rules, the deep stone rules and the prohibition rules established by the developed countries, and to form a mechanism of separation and checks and balances for the decision-making power of related party transactions. Constitute a strict regulation of affiliated transactions related to the legal liability system.
