我國保險競爭法律問題研究

【摘要】:伴隨著競爭機(jī)制的不斷引入,中國保險市場正經(jīng)歷高速發(fā)展的時期。但相對于西方發(fā)達(dá)國家而言,中國的保險市場結(jié)構(gòu)仍處于難辨方向的摸索階段。建立競爭性的保險市場體系,將繼續(xù)是中國保險市場逐步走向成熟的關(guān)鍵。尤其是中國即將加入WTO和保險市場的進(jìn)一步擴(kuò)大開放,建立競爭性的保險市場體系將有利于提高保險市場的運(yùn)作效率,優(yōu)化保險市場的市場結(jié)構(gòu),促進(jìn)保險市場的良性發(fā)展。而要實現(xiàn)這一目標(biāo),必須有良好且有效的法律環(huán)境作保障。作為社會主義法治經(jīng)濟(jì)的一部分,保險市場的成長狀況關(guān)系著社會生活的方方面面,因為,保險的本質(zhì)就是由社會來分擔(dān)個別人或個別群體的損失,來減小各種災(zāi)禍給個人帶來的不利影響?梢哉f,保險的各方主體雖然是特定的人或群體,但其影響卻波及整個社會。對于這樣一個社會影響極其廣泛的行業(yè),其行為活動必然要受到法律的約束,因為只有法律才能從根本上排除人治,排除少數(shù)人的恣意妄為,從而保證社會利益在最大程度上得以實現(xiàn)。 全文共分為三個部分: 第一部分——我國保險市場上的不正當(dāng)競爭行為 首先,針對目前理論界和實踐界對保險競爭行為性質(zhì)的誤解,筆者著意辨析了壟斷與不正當(dāng)競爭的區(qū)別,并明確保險市場上的不規(guī)范競爭行為屬于不正當(dāng)競爭,而非壟斷行為。其次,列舉了我國保險市場上不正當(dāng)競爭行為的表現(xiàn)與危害。其表現(xiàn)主要有:強(qiáng)制保險行為、違規(guī)經(jīng)營行為、限制競爭行為、人才爭搶行為等;其危害主要有:擾亂市場的秩序,給保險行業(yè)帶來混亂,以及引起業(yè)務(wù)質(zhì)量下降,使保險公司形成巨額賠付壓力而無可靠的賠付能力等。再次,分析了我國保險市場上不正當(dāng)競爭行為的成因,如保險市場培育不充分,導(dǎo)致經(jīng)營方式粗放;外部競爭條件不平等,誘使競爭行為不正當(dāng);不正當(dāng)競爭行為的違法成本偏低, WP=50 守法成本偏高;保險行業(yè)從業(yè)人員素質(zhì)偏低;保險業(yè)競爭立法相對滯后;執(zhí)法不公等。 最后,基于以上論述,得出以法規(guī)制我國保險市場上不正當(dāng)競爭行為的必要性,即它是保險市場自身發(fā)展的客觀需要,是中國保險市場向國際化趨勢發(fā)展的有力保障。 第二部分——我國保險競爭法律體系的理論基礎(chǔ) 保險競爭是競爭的一種,因此,要想正確地理解保險競爭,我們就有必要從基礎(chǔ)的競爭理論著手,逐漸推演開來,從競爭的共性中尋找出保險競爭的特性。同時,我們還要以競爭法制度為基礎(chǔ),尋找保險競爭法的基本立足點。 對于競爭的含義,筆者從經(jīng)濟(jì)學(xué)上的競爭入手,引導(dǎo)出法學(xué)意義上的競爭,即市場經(jīng)濟(jì)主體在生產(chǎn)經(jīng)營活動中,以追求最大經(jīng)濟(jì)效益為目的,通過合法手段所進(jìn)行的有關(guān)市場條件、市場資源、市場份額和市場活動結(jié)果的有序爭奪。對于競爭的功能,可從積極與消極兩方面分析,其積極的功能主要有:可以促進(jìn)社會生產(chǎn)力的合理流動,實現(xiàn)資源的優(yōu)化配置;可以調(diào)節(jié)國民收入的分配和再分配,有利于合理的市場價格的確定和均衡利潤的形成;可以作為經(jīng)濟(jì)發(fā)展的動力和壓力,優(yōu)勝劣汰,促進(jìn)社會經(jīng)濟(jì)的繁榮與進(jìn)步;可以最大限度的實現(xiàn)對消費(fèi)者合法權(quán)益的保護(hù)等。其消極功能主要有:競爭的充分開展通常要付出一定的社會成本;會破壞既存的社會經(jīng)濟(jì)秩序;對社會精神文明建設(shè)有一定負(fù)面影響;不可避免的會導(dǎo)致各種形式的壟斷的出現(xiàn)等。 所謂競爭法,是調(diào)整市場公平競爭關(guān)系和市場競爭管理關(guān)系的法律規(guī)范的總和。競爭法的調(diào)整對象有反不正當(dāng)競爭關(guān)系、公平競爭關(guān)系和國家對市場競爭的管理關(guān)系。競爭法的法律體系是指競爭法所應(yīng)當(dāng)涵蓋的子法規(guī)群,即確認(rèn)、創(chuàng)設(shè)競爭條件和競爭環(huán)境的法律規(guī)范、調(diào)整市場競爭關(guān)系的實體性法律規(guī)范、調(diào)整競爭管理關(guān)系的實體法規(guī)范,以及處理競爭關(guān)系的程序法規(guī)范。競爭法的性質(zhì)也具有復(fù)合性,是兼具有私法 WP=51 (商法)和公法或社會法(經(jīng)濟(jì)法)雙重屬性的混合法律制度。同時,競爭法對社會經(jīng)濟(jì)發(fā)展具有多方面的積極作用。 第三部分——建立我國保險競爭法律體系的制度設(shè)想 首先,建立我國保險競爭法律體系具有重要意義,,它有利于保證保險人具有足夠的償付能力,維護(hù)被保險人的合法權(quán)益;有利于維護(hù)保險業(yè)的公平競爭;有利于防止保險欺詐的發(fā)生;有利于保險業(yè)經(jīng)營的合理化和科學(xué)化;并有利于提高保險業(yè)的社會效益。 其次,保險競爭立法的主要目的是促進(jìn)和保護(hù)公平有序的保險競爭活動。在我國的保險行業(yè),公平競爭仍應(yīng)具有這樣一種涵義:它不強(qiáng)調(diào)結(jié)果相等,而重視起點,重視程序,強(qiáng)調(diào)每個“人”(個人和企業(yè))都有參與競爭的機(jī)會,要求競爭各方面臨同樣的選擇機(jī)會,即機(jī)會均等的公平。 最后,筆者以為,對我國保險競爭立法可以提出以下幾點建議:1、進(jìn)行稅制改革,確保不同主體的平等競爭地位;2、拓寬保險資金運(yùn)用途徑,加速保險基金積累,提高保險償付能力;3、嚴(yán)格區(qū)分政策性保險與商業(yè)性保險,使商業(yè)保險更貼近市場;4、規(guī)范保險條款,使之更趨嚴(yán)謹(jǐn)科學(xué);5、嚴(yán)格資格管理,提高保險從業(yè)人員素質(zhì);6、建立保險監(jiān)管機(jī)制,強(qiáng)化保險監(jiān)管;7、切實落實法律規(guī)定,加大對嚴(yán)重違法違規(guī)行為的懲罰力度;8、加大對保險及保險法規(guī)的宣傳力度,提高國民的保險意識。 綜上,通過對我國保險市場上競爭行為的分析,筆者試圖闡明我國保險市場
[Abstract]:With the continuous introduction of competition mechanism, China's insurance market is experiencing a period of rapid development. However, relative to western developed countries, China's insurance market structure is still in the difficult stage of exploration. To establish a competitive insurance market system will continue to be the key to the gradual maturity of China's Insurance Market. Especially China's insurance market. The further expansion of the WTO and the insurance market and the establishment of a competitive insurance market system will help to improve the efficiency of the insurance market, optimize the market structure of the insurance market and promote the healthy development of the insurance market. To achieve this goal, a good and effective legal environment must be guaranteed. As part of the rule of law economy, the growth of the insurance market is related to all aspects of social life, because the essence of the insurance is to share the loss of other people or individual groups by the society to reduce the adverse effects of various calamities on individuals. The full text is divided into three parts:
The first part is unfair competition in China's insurance market.
First, in view of the misunderstanding of the nature of insurance competition in the theoretical and practical circles, the author distinguishes the difference between monopoly and unfair competition, and makes clear that the unfair competition behavior in the insurance market belongs to unfair competition, not monopoly. Secondly, it lists the performance and harm of unfair competition behavior in the insurance market of our country. The main manifestations are: compulsory insurance, illegal operation, restriction of competitive behavior, and talent competition. The main hazards are: disrupting the order of the market, bringing chaos to the insurance industry, causing the decline of the business quality, causing the insurance companies to form a huge compensation pressure and no reliable compensation ability. The causes of unfair competition in the risk market, such as inadequate cultivation of the insurance market, lead to extensive operation, unequal external competition conditions, unjustifiable competition behavior, low cost of illegal competition, and low cost of illegal competition.

The second part -- the theoretical foundation of China's insurance competition legal system
Insurance competition is a kind of competition. Therefore, if we want to understand the insurance competition correctly, it is necessary for us to start from the basic competition theory and gradually deduce the characteristics of the insurance competition from the commonality of the competition. At the same time, we should look for the basic foothold of the insurance competition law on the basis of the competition law system.
For the meaning of competition, the author, starting with the competition in economics, guides the competition in the sense of law, that is, the orderly contention of market conditions, market resources, market share and the result of market activities through legal means in the pursuit of the maximum economic benefit in the production and operation of the market economy. The function can be analyzed from two aspects of positive and negative aspects. The main functions are as follows: it can promote the rational flow of social productivity, realize the optimal allocation of resources, adjust the distribution and redistribution of national income, be beneficial to the determination of reasonable market prices and the balance of the formation of Lei, and can be used as the motive force of economic development and Pressure, the survival of the fittest, the promotion of social and economic prosperity and progress, and the maximum realization of the protection of the legitimate rights and interests of consumers. Its negative functions are as follows: the full development of competition usually pays a certain social cost; it will destroy the existing social and economic order; it has a negative impact on the construction of social spiritual civilization. The so-called competition law is the sum of the legal norms regulating the relationship between the market fair competition and the management of the market competition. The object of the adjustment of the competition law is the anti unfair competition relationship, the fair competition relationship and the management relation of the state to the market competition. The legal system of the Competition Law refers to the sub laws and regulations that the competition law should cover, that is to say, to establish and create the competition law. The legal norms of competition conditions and competitive environment, substantive legal norms regulating market competition relations, regulating the substantive law of competition management relations, and procedural norms dealing with competitive relations. The nature of competition law is also complex and has private law.

The third part -- the assumption of establishing the legal system of insurance competition in China
First, it is of great significance to establish the legal system of insurance competition in our country. It is beneficial to ensure that the insurer has sufficient solvency, safeguard the legitimate rights and interests of the insured, protect the fair competition of the insurance industry, prevent the occurrence of insurance fraud, be beneficial to the rationalization and scientific management of the insurance industry, and be beneficial to the insurance industry. Secondly, the main purpose of insurance competition legislation is to promote and protect fair and orderly insurance competition activities. Finally, the author thinks that the following suggestions can be put forward to China's insurance competition legislation: 1, carry out tax reform to ensure the equal competitive position of different subjects; 2, broaden the use of insurance funds, accelerate the accumulation of insurance funds, improve the solvency of insurance; and 3, strictly divide the policy insurance and commercial insurance to make commercial insurance more affixed. In conclusion, by analyzing the competitive behavior in China's insurance market, the author tries to clarify the insurance market in China.
