論租船提單中并入條款的法律效力

【摘要】:提單是國際貿(mào)易和運輸中的重要單證,其條款的效力直接影響到提單有關(guān)當 事方的權(quán)利和義務(wù)。提單中的“并入條款”并不像其它條款那樣具有明確的文字 表述,僅僅是約定將提單對應(yīng)的租船合同條款“并入”到提單中。由于這樣的條 款的內(nèi)容須借助所引述租船合同的內(nèi)容才能確定,又涉及不同的當事人,故其內(nèi) 容常常是不確定的,而“并入條款”的內(nèi)容直接涉及到提單關(guān)系方的利益,其不 確定性會對提單關(guān)系方的權(quán)利和義務(wù)造成不同程度的影響。 國際航運實踐和司法實踐中,對于提單“并入條款”形成了一套獨特的操作 理論。但國內(nèi)的司法理論對此卻缺乏深入的探討,特別是結(jié)合國內(nèi)相關(guān)的法律法 規(guī)進行研究。在我國,《海商法》對有關(guān)提單“并入條款”只有一條原則性規(guī)定, 即第95條規(guī)定:“對按照航次租船合同運輸?shù)呢浳锖灠l(fā)的提單,提單持有人不是 承租人的,承運人與該提單承運人之間的權(quán)利業(yè)務(wù)關(guān)系適用提單的約定。但是, 提單中載明適用航次租船合同條款的,適用該航次租船合同的條款”。對這一原則 性條款如何理解適用?對有關(guān)條款(如《海商法》第87條、第78條、第45條等) 如何結(jié)合該原則性條款適用于判案,均有待立法、司法機關(guān)解決。 本文將依據(jù)國內(nèi)的法律理論,結(jié)合國際上的通行實踐對提單“并入條款”的 效力提出法律理論依據(jù);對提單并入條款可能引發(fā)的法律后果做深入分析(包括 運費的追討、費用的承擔等);結(jié)合國際貨物買賣的特點,提出符合國際貿(mào)易發(fā)展 要求的提單“并入條款”解釋原則;對提單并入租船合同仲裁條款的條件等問題 作出具體深刻的分析。
[Abstract]:Bill of lading is an important document in international trade and transport. The effect of its terms directly affects the bill of lading. The rights and obligations of the parties. The "incorporation clause" in the bill of lading does not have the same explicit wording as other clauses. Expressed simply by agreeing to "merge" the charter party terms corresponding to the bill of lading into the bill of lading. The content of the paragraph must be ascertained by reference to the contents of the charter party quoted, and involved different parties. Tolerance is often uncertain, and the content of the "incorporation clause" is directly related to the interests of the parties to the bill of lading, which does not. Certainty affects the rights and obligations of the parties to the bill of lading to varying degrees. In the practice of international shipping and judicial practice, a unique set of operation has been formed for the "incorporation clause" of bill of lading. However, the domestic judicial theory lacks a thorough discussion of this, especially in the light of the relevant domestic laws and laws. In our country, the Maritime Law has only one rule of principle concerning the "incorporation clause" of bills of lading, That is, article 95 states: "in respect of a bill of lading issued in respect of goods carried under a voyage charter contract, the bill of lading is not the holder of a bill of lading. The right and business relationship between the carrier and the carrier of the bill of lading shall be governed by the agreement of the bill of lading. Where the bill of lading specifies the application of the terms of the voyage charter party, the terms of the voyage charter party shall apply "... to this principle." How does the sex clause apply? In relation to relevant articles (e.g., articles 87, 78, 45, etc.) of the Code of Maritime Law. How to apply the principle clause to the case is to be legislated and solved by the judicial organ. According to the domestic legal theory and international practice, this article will study the incorporation clause of bill of lading. Legal theoretical basis for validity; in-depth analysis of possible legal consequences arising from the incorporation of bills of lading (including. The recovery of freight charges, the bearing of costs, etc., according to the characteristics of the international sale of goods, put forward in line with the development of international trade. The principle of interpretation of the required bill of lading as a "incorporation clause"; the conditions for the incorporation of the bill of lading into the arbitration clause of the charter party, etc. Make a concrete and profound analysis.
