【摘要】：正法人制度的原型是自然人制度。法律對法人做出規(guī)定,目的是希望借用有關(guān)自然人的法律規(guī)則,使法人像自然人一樣參與生產(chǎn)和交易。但究竟何為法人,如何用法律搭建"法人"這一虛構(gòu)事物的架構(gòu),須仔細(xì)思考和斟酌。的確如基爾克所言,作為"社會化""團(tuán)體化"的生活方式的體現(xiàn),團(tuán)體是不可回避的真實(shí)的社會存在。在法律上對此加以承認(rèn),也恰恰反映了法律與社會生活的積極互動。但是,需要認(rèn)識到的是,即便各類團(tuán)體都是社會生活中人(此處為自然人)所創(chuàng)造的實(shí)在事
[Abstract]:The prototype of the legal person system is the natural person system. The law provides for legal persons in the hope of borrowing the legal rules of natural persons to enable legal persons to participate in production and trade as natural persons. But what is a legal person and how to construct the structure of a fictional thing by law should be carefully considered and considered. Indeed, as Kirk says, as the embodiment of socialized and collectivized way of life, group is an unavoidable and real social existence. Legal recognition of this also reflects the positive interaction between law and social life. What needs to be realized, however, is that even if all kinds of groups are real things created by people in social life (in this case natural persons),
