【摘要】：所謂未到期租賃合同是指于破產(chǎn)申請(qǐng)受理前成立,至破產(chǎn)申請(qǐng)受理后租賃期限仍未屆滿的租賃合同。對(duì)于未到期租賃合同的處理,各國(guó)破產(chǎn)法一般的做法是授權(quán)破產(chǎn)管理人享有自由的選擇權(quán)。與此同時(shí),對(duì)破產(chǎn)管理人如何行使解除權(quán)進(jìn)行了一定程度的限制。而我國(guó)破產(chǎn)法對(duì)于破產(chǎn)管理人選擇權(quán)之規(guī)定相當(dāng)簡(jiǎn)單,既沒(méi)有限制條款,也缺乏可轉(zhuǎn)讓規(guī)定。之所以要對(duì)未到期租賃合同的處分規(guī)則給予特殊的規(guī)定,主要是因?yàn)樽赓U權(quán)的物權(quán)化特性使得租賃合同在合同法等非破產(chǎn)法領(lǐng)域享有特殊的保護(hù)。因此,在破產(chǎn)程序中,對(duì)于未到期租賃合同的處理,一方面應(yīng)盡可能尊重這種特殊保護(hù),限制出租人解除合同的權(quán)利;另一方面應(yīng)借鑒國(guó)外先進(jìn)做法,引入轉(zhuǎn)讓規(guī)則,賦予破產(chǎn)管理人合同轉(zhuǎn)讓權(quán),以期平衡全體利益相關(guān)者的合法權(quán)益。
[Abstract]:The so-called unexpired lease contract refers to the lease contract which is established before the bankruptcy application is accepted and has not expired until the bankruptcy application is accepted. For the treatment of unexpired lease contracts, the general practice of national insolvency law is to authorize the insolvency representative to have free choice. At the same time, the bankruptcy administrator how to exercise the right of discharge to a certain extent. However, the bankruptcy law of our country has a very simple stipulation on the insolvency administrator's right of option, which is neither limited nor transferable. The reason why it is necessary to give special provisions to the rules of disposition of unexpired lease contract is mainly because of the property right of lease right which makes the lease contract enjoy special protection in the field of non-bankruptcy law such as contract law. Therefore, in the insolvency proceedings, the treatment of unexpired lease contract, on the one hand, should respect this special protection as far as possible and limit the lessor's right to terminate the contract; On the other hand, we should draw lessons from foreign advanced practices, introduce transfer rules, and endow the bankruptcy administrator with the right to transfer contracts in order to balance the legitimate rights and interests of all stakeholders.
