我國類別股制度建立之構思

【摘要】：類別股制度是依據權利內容的不同而將股份進行類別化并輔之以特殊保護的一整套制度設計的集合,該制度已被公司法律制度成熟的國家或地區(qū)廣泛運用,如美國、英國、德國、日本、中國臺灣等。本文通過比較分析商事發(fā)達國家在類別股制度建設中的立法實踐,結合我國的現(xiàn)實國情、法律體系和實踐習慣,對我國類別股制度構建提供了法律方面的建議。首先,本文對類別股制度相關內容進行了概述,對類別股的含義進行了界定,并根據類別股上權利內容的不同對其類型進行了劃分,同時闡述了類別股制度的法理基礎即章程自治和法定主義原則及股權實質平等原則,并對類別股制度的功能價值進行了分析,論證了我國構建類別股制度的必要性;其次,本文對類別股制度在部分商事發(fā)達國家的立法實踐進行了分析,總結了這些國家的類別股制度立法特點,作為后文對我國類別股制度構建提出建議的基礎;再次,本文對類別股制度在我國的發(fā)展現(xiàn)狀進行了概述,雖然我國未全面構建類別股制度,但是優(yōu)先股作為類別股種類之一,已在我國實踐中進行了運用,并有相關法規(guī)進行約束,通過對我國類別股制度發(fā)展現(xiàn)狀的分析,提出我國構建類別股制度可能面臨的問題障礙;第五部分針對我國構建類別股制度面臨的障礙提出解決思路,一方面是立法模式的選擇,另一方面是對欲引入的類別股的具體設計思路,最后,類別股制度的構建可能導致股東間利益沖突的加劇,為確保我國類別股制度的順利構建和實施,提出配套的沖突解決機制。本文按照分析現(xiàn)狀——提出問題——解決問題的思路,對我國類別股制度的構建提出了自己建議,尤其對我國類別股制度的立法路徑選擇、我國類別股的多樣化設計、類別股制度的保護和救濟機制進行了詳細的論述。
[Abstract]:Class share system is a set of systems designed to categorize shares according to the content of rights and be supplemented by special protection. This system has been widely used in countries or regions with mature corporate legal systems, such as the United States, Britain, and the United States, the United Kingdom, the United States and the United Kingdom. Germany, Japan, China, Taiwan, etc. Based on the comparative analysis of the legislative practice of the commercial developed countries in the construction of the category share system, this paper provides legal suggestions for the construction of the category share system in our country in the light of the actual situation, legal system and practice habits of our country. First of all, this paper summarizes the relevant contents of the category stock system, defines the meaning of the category stock, and divides its type according to the content of the right on the category stock. At the same time, this paper expounds the legal basis of the category stock system, that is, the principle of autonomy of articles of association and the principle of statutory doctrine and the principle of equity substantive equality, and analyzes the functional value of the system of category shares, and demonstrates the necessity of constructing the system of category shares in our country. Secondly, this paper analyzes the legislative practice of the category share system in some commercial developed countries, summarizes the legislative characteristics of the category share system in these countries, as the basis for the later suggestions on the construction of the category share system in our country; Thirdly, this paper summarizes the development of the category stock system in China. Although China has not fully constructed the category stock system, the preferred stock, as one of the categories of shares, has been used in practice in our country. Through the analysis of the current situation of the development of China's category stock system, this paper puts forward the problems and obstacles that our country may face in constructing the category share system. In the fifth part, the author puts forward some solutions to the obstacles to the construction of the category stock system in China. On the one hand, it is the choice of the legislative model, on the other hand, it is the specific design idea of the category stock to be introduced. Finally, The construction of the system of category shares may lead to the intensification of conflicts of interest among shareholders. In order to ensure the smooth construction and implementation of the system of category shares in China, a supporting conflict resolution mechanism is put forward. According to the thinking of analyzing the current situation-putting forward problems-solving problems, this paper puts forward some suggestions on the construction of China's category stock system, especially on the choice of legislative path of our country's category stock system, and the diversification design of our country's category stock system. The protection and relief mechanism of the category-share system is discussed in detail.
