【摘要】：由于我國目前有關(guān)公司人格否認(rèn)立法的不足,對于是否應(yīng)該在執(zhí)行程序中適用公司人格否認(rèn)仍存在著較大的爭議。在慎重權(quán)衡執(zhí)行權(quán)和審判權(quán)之間的關(guān)系后,筆者認(rèn)為在執(zhí)行追加程序中有限制地適用公司人格否認(rèn)制度。在執(zhí)行程序中適用公司人格否認(rèn)仍然是對同一事實進行裁判,沒必要就同一事實再次提起訴訟。同時在執(zhí)行程序中適用公司人格否認(rèn)能更加高效、便捷地對案件作出裁判,節(jié)約了司法資源。但是,由于目前立法不完善,法院司法人員自由裁量權(quán)過大容易造成對公司人格否認(rèn)理論地濫用或者公司股東利用公司人格獨立規(guī)避執(zhí)行等問題。因此應(yīng)當(dāng)是在完善相關(guān)立法的前提下,有限制的在民事執(zhí)行程序中適用公司人格否認(rèn)。本文首先在前言中通過對一個案例的分析,引出了本文的主旨。正文分為三部分:第一部分歸納了我國現(xiàn)存在關(guān)于執(zhí)行程序適用公司人格否認(rèn)存在著較大的爭議,并對爭議進行分析,進而提出在民事執(zhí)行程序中應(yīng)當(dāng)有適用公司人格否認(rèn)的必要性。第二部分析了我國當(dāng)前在民事執(zhí)行程序中適用公司人格否認(rèn)存在的主要問題。第三部分針對筆者在本文第二部分歸納的問題,對癥下藥,提出在執(zhí)行中適用公司人格否認(rèn)的制度構(gòu)建�？傊�,在完善公司人格否認(rèn)的同時,應(yīng)當(dāng)堅持禁止濫用原則、維護公平原則的前提下,完善相關(guān)立法,審慎適用公司人格否認(rèn),即通過程序規(guī)則限制法院過度行使自由裁量權(quán),才能真正保障司法公正,公平。
[Abstract]:Due to the lack of legislation on the denial of corporate personality in our country, there is still a great dispute about whether the denial of corporate personality should be applied in the executive procedure. After carefully weighing the relationship between the executive power and the judicial power, the author thinks that the system of corporate personality denial is applied in the execution of supplementary procedure. The application of the denial of corporate personality in the execution procedure is still a decision on the same fact, and there is no need to bring a lawsuit against the same fact again. At the same time, the application of corporate personality denial in the execution procedure can be more efficient and convenient to adjudicate cases and save judicial resources. However, due to the imperfect legislation at present, it is easy to abuse the theory of corporate personality denial or corporate shareholders to use the corporate personality to evade the execution. Therefore, under the premise of perfecting the relevant legislation, the company personality denial should be limited in the civil execution procedure. In the preface of this paper, a case analysis leads to the main idea of this paper. The text is divided into three parts: the first part summarizes the existence of the executive procedure applicable to the company personality denial there is a greater dispute, and the controversy is analyzed. Furthermore, the necessity of the denial of corporate personality should be applied in the civil execution procedure. The second part analyzes the main problems existing in the application of corporate personality denial in the civil execution procedure in China. In the third part, aiming at the problems summarized in the second part of this paper, the author puts forward the construction of the system of corporate personality denial in the execution. In a word, while perfecting the denial of corporate personality, we should insist on prohibiting the abuse of the principle, maintain the principle of fairness, perfect the relevant legislation, apply the denial of corporate personality prudently, that is, limit the court's excessive exercise of discretion through the rules of procedure. In order to truly guarantee justice and fairness.
