【摘要】：從創(chuàng)始人角度出發(fā),通過(guò)對(duì)萬(wàn)科控制權(quán)之爭(zhēng)發(fā)生前后創(chuàng)始人控制權(quán)演進(jìn)的分析,解構(gòu)影響創(chuàng)始人控制權(quán)獲取與維持的因素,以及各因素間相互作用的機(jī)理,進(jìn)而揭示對(duì)內(nèi)部社會(huì)資本的過(guò)度自信、對(duì)外部社會(huì)資本的過(guò)于依賴以及過(guò)于理想主義,是創(chuàng)始人在維持控制權(quán)時(shí)的疏漏之處,并針對(duì)出現(xiàn)的失誤提出改進(jìn)意見(jiàn)。萬(wàn)科的控制權(quán)之爭(zhēng)暴露出我國(guó)公司治理的不足,對(duì)于完善我國(guó)的公司治理結(jié)構(gòu)和保護(hù)創(chuàng)始人權(quán)益具有重要意義。
[Abstract]:From the perspective of the founder, through the analysis of the evolution of the founder's control right before and after the Vanke control dispute, the author deconstructs the factors that affect the acquisition and maintenance of the founder's control right, and the interaction mechanism between the various factors. Furthermore, it reveals that overconfidence in internal social capital, over-reliance on external social capital and too idealism are the omissions of the founder in maintaining the control right, and some suggestions are put forward to improve the failure. The struggle for control rights of Vanke exposes the deficiency of corporate governance in China, which is of great significance for perfecting the corporate governance structure and protecting the rights and interests of the founders.
