【摘要】：正2001年12月,三聯(lián)集團對鄭州百文股份有限公司進行了重大資產(chǎn)與債務(wù)重組,成為其最大控股股東(直到2007年年底),公司的名稱也變更為三聯(lián)商社股份有限公司。重組后的三聯(lián)商社自2004年利潤開始持續(xù)下降,2006年僅有116萬元利潤,扣除非經(jīng)常性損益后凈利潤虧損-750萬元,而非經(jīng)常性損益的重要來源則是控股股東三聯(lián)集團高達(dá)900多萬元的資金占用費。三聯(lián)集團正是通過關(guān)聯(lián)采購交易實現(xiàn)資金占用這一主要手段來掏空上市公司三聯(lián)商社的利益,
[Abstract]:In December 2001, Sanlian Group reorganized its major assets and debts into its largest controlling shareholder (until the end of 2007), and the name of the company was changed to Sanlian Merchants Co., Ltd. After the reorganization, the company's profit began to decline continuously since 2004. In 2006, it only made a profit of 1.16 million yuan. After deducting the non-recurrent profit and loss, the net profit and loss were -7.5 million yuan. An important source of non-recurrent gains and losses is controlling shareholder Sanlian Group, which has a capital occupation fee of more than 9 million yuan. It is through related procurement transactions that Sanlian Group realizes the main means of taking up funds to empty the interests of Sanlian Merchants, a listed company.
