【摘要】：有限公司具有管理合伙化、缺乏公開(kāi)股權(quán)交易市場(chǎng)以及高度自治性的特征,以"決策同意"與"回避表決"為核心的傳統(tǒng)關(guān)聯(lián)交易公允性控制原則無(wú)法切實(shí)發(fā)揮管控功能。為此,本文在對(duì)有限公司治理結(jié)構(gòu)特殊性進(jìn)行研究的基礎(chǔ)上,提出了完善有限公司關(guān)聯(lián)交易價(jià)格公允性的具體控制規(guī)則,以此避免有限公司控股股東通過(guò)非公允關(guān)聯(lián)交易侵害中小股東利益。
[Abstract]:Limited company has the characteristics of management partnership, lack of open stock trading market and high autonomy. The traditional fair control principle of related party transactions with the core of "decision consent" and "avoidance vote" can not effectively play a regulatory function. Therefore, on the basis of the research on the particularity of the governance structure of limited companies, this paper puts forward the specific control rules to perfect the fair price of related party transactions of limited companies. In order to avoid the limited company controlling shareholders through unfair related party transactions against the interests of minority shareholders.
