商業(yè)銀行理財(cái)產(chǎn)品法律問(wèn)題研究

【摘要】:隨著經(jīng)濟(jì)的迅猛發(fā)展,我國(guó)有很多商業(yè)銀行,開(kāi)始經(jīng)營(yíng)理財(cái)產(chǎn)品。在經(jīng)過(guò)長(zhǎng)時(shí)間的發(fā)展之后,現(xiàn)在已經(jīng)壯大成為商業(yè)銀行一種重要的投資方式。對(duì)于這些銀行,除了傳統(tǒng)的匯、貸、存業(yè)務(wù),慢慢成為我國(guó)普通居民和企業(yè)的主要的投資方向。 由于我國(guó)金融業(yè)實(shí)行的是分業(yè)經(jīng)營(yíng)制度,不同的金融機(jī)構(gòu)依照不同的制度安排和監(jiān)管規(guī)則開(kāi)展理財(cái)業(yè)務(wù),主要包括以下幾種:商業(yè)銀行有理財(cái)產(chǎn)品,基金理財(cái)產(chǎn)品及私募理財(cái)產(chǎn)品;信托公司很久之前就在經(jīng)營(yíng)理財(cái)產(chǎn)品。另外,保險(xiǎn)公司和證券公司慢慢也開(kāi)始了理財(cái)產(chǎn)品的設(shè)計(jì)和銷(xiāo)售。 2004年,我國(guó)的商業(yè)銀行理財(cái)產(chǎn)品開(kāi)始銷(xiāo)售。我國(guó)的理財(cái)產(chǎn)品已經(jīng)經(jīng)過(guò)了十年的長(zhǎng)足發(fā)展。在我國(guó),一些較大商業(yè)銀行的理財(cái)產(chǎn)品,現(xiàn)在的資產(chǎn)數(shù)額也已經(jīng)大大超過(guò)了一些金融機(jī)構(gòu)的各類(lèi)理財(cái)產(chǎn)品。根據(jù)普益財(cái)富的統(tǒng)計(jì)數(shù)據(jù),我們可以得知,從2004年年初,我國(guó)商業(yè)銀行最初開(kāi)始出售理財(cái)產(chǎn)品。時(shí)至2012年年底,我國(guó)的商業(yè)銀行,在過(guò)去九年期間,共出售各類(lèi)理財(cái)產(chǎn)品九萬(wàn)六千余款,其中包含農(nóng)村信用社、蒙銀村鎮(zhèn)銀行等。其規(guī)律為,每年出售的產(chǎn)品數(shù)量越來(lái)越多。上面提到的理財(cái)產(chǎn)品,是涵蓋了各大商業(yè)銀行,推出的表內(nèi)及表外的各種理財(cái)產(chǎn)品。其消費(fèi)客戶(hù)種類(lèi)有:個(gè)人理財(cái)客戶(hù),法人企業(yè)理財(cái)客戶(hù)。 理財(cái)產(chǎn)品,因?yàn)槠渥陨矸N類(lèi)繁多,且投資規(guī)模也涉及了較多的客戶(hù)群體,而引發(fā)的法律問(wèn)題也比較繁瑣。2012年年底,商業(yè)銀行理財(cái)糾紛此起彼伏,共爆發(fā)了四起經(jīng)濟(jì)糾紛。隨著社會(huì)的快速發(fā)展,我們的生活水平也在不斷地提高。理財(cái)產(chǎn)品對(duì)于我們的日常生活而言,影響會(huì)越來(lái)越大。因此,我們應(yīng)該對(duì)理財(cái)產(chǎn)品的基本屬性給予充分的探索、界定與規(guī)范。共同探討我國(guó)理財(cái)產(chǎn)品的規(guī)范化問(wèn)題。通過(guò)立法改變現(xiàn)在的性質(zhì)模糊狀態(tài),減少法律漏洞,這最終目的也是為了更全面的保護(hù)理財(cái)產(chǎn)品的經(jīng)營(yíng)者與消費(fèi)者,維護(hù)投資者合法權(quán)益。 本文分為引言、正文和結(jié)論三個(gè)大部分進(jìn)行論述。正文部分分為三章。第一章對(duì)商業(yè)銀行理財(cái)產(chǎn)品的涵義和分類(lèi)進(jìn)行了詳細(xì)介紹,包括國(guó)內(nèi)和國(guó)外的定義模式。第二章對(duì)商業(yè)銀行理財(cái)產(chǎn)品的法律關(guān)系存在的爭(zhēng)議進(jìn)行了分析和界定。第三章對(duì)商業(yè)銀行理財(cái)產(chǎn)品中的現(xiàn)實(shí)存在的法律問(wèn)題進(jìn)行總結(jié)概括,并提出了完善建議。存在的問(wèn)題主要有:銀行與信托法律規(guī)定不一致問(wèn)題、資金來(lái)源與集資方式存在的法律問(wèn)題和銀行行為不規(guī)范問(wèn)題。完善建議有明確理財(cái)產(chǎn)品的信托法律屬性,關(guān)聯(lián)交易的法律調(diào)整,結(jié)構(gòu)化理財(cái)?shù)姆梢?guī)制,完善消費(fèi)者權(quán)益保護(hù)的實(shí)施細(xì)則等。
[Abstract]:With the rapid development of economy, there are many commercial banks in our country. After a long period of development, it has become an important investment way of commercial banks. For these banks, in addition to the traditional remittance, loan, deposit business, gradually become the main investment direction of ordinary residents and enterprises in China. Because the financial industry of our country implements the separate operation system, different financial institutions carry out financial management business according to different system arrangement and supervision rules, which mainly include the following kinds: commercial banks have financial management products, Fund-based products and private-equity products; trusts have long been in business. In addition, insurance companies and securities companies have slowly begun to design and sell financial products. In 2004, China's commercial banks began to sell financial products. The financial management products of our country have already gone through ten years of considerable development. In our country, the financial products of some large commercial banks have already exceeded the financial products of some financial institutions. According to the statistics of Puyi Wealth, we can know that from the beginning of 2004, Chinese commercial banks initially began to sell financial products. Up to the end of 2012, the commercial banks of our country, in the past nine years, have sold more than 96000 financial products, including the Rural Credit Cooperatives, the Mongol Village Bank and so on. The rule is that more and more products are sold each year. The above mentioned wealth management products cover the major commercial banks, launched in and out of the list of financial products. Its consumer customers are: personal financial customers, corporate financial customers. Wealth management products, because of their own variety, and the scale of investment involved a large number of customer groups, and the legal issues are more cumbersome. At the end of 2012, commercial banks financial disputes one after another, a total of four economic disputes broke out. With the rapid development of society, our standard of living is also constantly improving. Financial products will have a growing impact on our daily lives. Therefore, we should fully explore, define and standardize the basic attributes of financial products. This paper discusses the standardization of financial management products in China. The final purpose is to protect the managers and consumers of financial products more comprehensively and to protect the legitimate rights and interests of investors. This paper is divided into three parts: introduction, text and conclusion. The text is divided into three chapters. The first chapter introduces the definition and classification of commercial bank financial products in detail, including domestic and foreign definition models. The second chapter analyzes and defines the legal relationship of financial products of commercial banks. The third chapter summarizes the legal problems existing in the commercial bank financial products, and puts forward some suggestions. The main problems are: the inconsistency between the bank and the trust law, the legal problem of the source of funds and the way of raising funds, and the problem of the non-standard behavior of the bank. The consummation suggestion has the clear financial management product trust law attribute, the related party transaction legal adjustment, the structured financial management legal regulation, the consummation consumer rights and interests protection implementation rule and so on.
