【摘要】：權(quán)力配置是公司治理的兩大核心之一,學(xué)者們圍繞權(quán)力配置提出了各種模式。同已有的各種權(quán)力配置模式相比,雙重權(quán)力模式不僅具有規(guī)范性和實證性,而且更有說明力和預(yù)測力。無論公司采取何種權(quán)力配置模式,董事高管的權(quán)力總是趨向最大化。阿里巴巴合伙人制度,是合伙機(jī)制與公司制的巧妙結(jié)合,其所實現(xiàn)的偉大的公司治理制度創(chuàng)新革命,體現(xiàn)的是公司私權(quán)力無限擴(kuò)張的特征和趨勢,公司治理雙重權(quán)力監(jiān)管成為必然的選擇。
[Abstract]:Power allocation is one of the two cores of corporate governance. Compared with the existing power allocation models, the dual power model is not only normative and empirical, but also more illustrative and predictive. No matter what kind of power allocation mode the company adopts, the power of directors always tends to be maximized. The Alibaba partner system is a clever combination of the partnership mechanism and the corporate system. The great innovation revolution of the corporate governance system embodies the characteristics and trends of the unlimited expansion of the private power of the company. The dual power supervision of corporate governance has become an inevitable choice.
