論我國P2P網(wǎng)貸風(fēng)險(xiǎn)控制的立法完善

【摘要】:根據(jù)學(xué)者對P2P網(wǎng)絡(luò)借貸不同角度的定義,可將其定義為網(wǎng)貸信息中介機(jī)構(gòu)通過網(wǎng)絡(luò)技術(shù)為資金的需求方與資金的富足方實(shí)現(xiàn)資金借貸的融通服務(wù)。由此,看出P2P網(wǎng)絡(luò)借貸是以金融脫媒為本質(zhì),以網(wǎng)貸中介機(jī)構(gòu)為紐帶,以互聯(lián)網(wǎng)技術(shù)為基礎(chǔ),以普惠為動(dòng)因,是一種民間借貸的創(chuàng)新。由于我國民間金融法律體系缺乏、民間資金供求關(guān)系不平衡并且我國民間借貸的發(fā)展歷程較長,P2P網(wǎng)貸在此得到了快速發(fā)展,但在P2P網(wǎng)貸行業(yè)快速發(fā)展的同時(shí)其風(fēng)險(xiǎn)也逐漸暴露。P2P網(wǎng)貸平臺(tái)的運(yùn)行模式在不斷創(chuàng)新的同時(shí)運(yùn)行風(fēng)險(xiǎn)也逐漸增加,再加上我國P2P網(wǎng)貸監(jiān)管的滯后導(dǎo)致大量的非法P2P網(wǎng)貸模式出現(xiàn),主要包括資金池模式和平臺(tái)自融模式、平臺(tái)詐騙模式。在此背景下筆者從P2P網(wǎng)絡(luò)借貸風(fēng)險(xiǎn)分析入手,由于P2P網(wǎng)貸行為包含網(wǎng)絡(luò)借貸行為和網(wǎng)貸中介機(jī)構(gòu)運(yùn)行行為,因此將網(wǎng)貸風(fēng)險(xiǎn)分為網(wǎng)絡(luò)借貸行為風(fēng)險(xiǎn)和不同運(yùn)行模式的網(wǎng)貸平臺(tái)運(yùn)行風(fēng)險(xiǎn)。前者主要風(fēng)險(xiǎn)為借款人信用風(fēng)險(xiǎn)、網(wǎng)貸信息安全風(fēng)險(xiǎn)、借貸雙方法律風(fēng)險(xiǎn)等,后者則根據(jù)網(wǎng)貸平臺(tái)不同運(yùn)行模式而存在不同網(wǎng)貸風(fēng)險(xiǎn)。由此應(yīng)當(dāng)通過法律對我國網(wǎng)貸風(fēng)險(xiǎn)進(jìn)行針對性控制,但通過對我國目前法律現(xiàn)狀分析發(fā)現(xiàn)在網(wǎng)貸風(fēng)險(xiǎn)法律控制方面還尚未完善,主要存在的問題是:基本立法對P2P網(wǎng)貸規(guī)制較為滯后,存在民事法律規(guī)制不嚴(yán)、民間金融監(jiān)管法律體系不健全并且各部門法律之間存在規(guī)定相互沖突的問題;在專項(xiàng)立法中存在立法形式不規(guī)范,立法層級較低并且規(guī)制內(nèi)容尚不全面且適用困難的問題,并且在地方專項(xiàng)法律內(nèi)容中存在寬嚴(yán)程度不同的問題;在P2P網(wǎng)貸相關(guān)配套制度中缺乏與其相適用的征信制度、第三方參與制度的相關(guān)內(nèi)容,并且也缺乏與P2P網(wǎng)貸專項(xiàng)法律適用相配套的網(wǎng)貸行業(yè)標(biāo)準(zhǔn)和網(wǎng)貸平臺(tái)內(nèi)部風(fēng)險(xiǎn)控制的規(guī)章制度。因此,筆者針對上述問題提出對P2P網(wǎng)貸立法的相關(guān)建議,在基本立法中對民事法律、監(jiān)管法律中相關(guān)滯后性的有關(guān)規(guī)定進(jìn)行改進(jìn),并對不同部門法中存在的沖突問題進(jìn)行統(tǒng)一規(guī)定。在專項(xiàng)立法中適當(dāng)提高中央立法的層級,規(guī)范地方立法程序,并對規(guī)制內(nèi)容進(jìn)行補(bǔ)充和完善。在P2P網(wǎng)貸相關(guān)配套制度中,制定與P2P網(wǎng)貸相關(guān)的征信制度、第三方參與機(jī)構(gòu)的從業(yè)規(guī)范,并加強(qiáng)網(wǎng)貸信息中介機(jī)構(gòu)的行業(yè)標(biāo)準(zhǔn)和平臺(tái)內(nèi)部風(fēng)險(xiǎn)控制規(guī)章制度的制定,以達(dá)到P2P網(wǎng)貸風(fēng)險(xiǎn)法律控制的目的。
[Abstract]:According to the scholars' definition of P2P network lending, it can be defined as the network loan information intermediary to realize the financing service for the demand side of capital and the rich side of capital through the network technology. From this, we can see that P2P network lending is based on financial disintermediation, internet lending intermediary, Internet technology as the basis, and universal benefit as the motivation. It is an innovation of folk lending. Due to the lack of private financial legal system, the imbalance between private capital supply and demand and the long history of the development of private lending in China, P2P network loans have developed rapidly. However, with the rapid development of P2P network loan industry, the risk of P2P network loan platform is gradually exposed. The operation mode of P2P network loan platform is constantly innovating and the running risk is also increasing gradually. In addition, the lag of P2P network loan supervision in our country leads to a large number of illegal P2P network loan patterns, including fund pool mode and platform self-financing mode, platform fraud mode. In this context, the author starts with the risk analysis of P2P network lending, because P2P network lending behavior includes network lending behavior and network lending intermediary operation behavior. Therefore, the network loan risk is divided into the network lending behavior risk and the network loan platform running risk of different operation mode. The former is the borrower credit risk, the network loan information security risk, the loan both sides legal risk and so on, the latter has the different net loan risk according to the net loan platform different operation pattern. Therefore, we should control the risk of net loan through the law, but through the analysis of the present legal situation of our country, we find that the legal control of the risk of network loan is still not perfect. The main problems are: the basic legislation of P2P network loan regulation lags behind, the existence of civil legal regulation is not strict, the civil financial regulatory legal system is not perfect and there are conflicts between the laws of various departments; In the special legislation, there are some problems such as the form of legislation is not standardized, the level of legislation is low, the content of regulation is not comprehensive and it is difficult to apply, and there are some problems in the content of local special laws. In the P2P network loan related supporting system, there is a lack of appropriate credit system, third party participation system related content, And there is also a lack of P2P network lending specific law applicable to the network lending industry standards and network lending platform internal risk control rules and regulations. Therefore, in view of the above problems, the author put forward the relevant suggestions on P2P network loan legislation, in the basic legislation of civil law, regulatory law in the relevant lag provisions to improve, And the conflict problem in the different branch law carries on the unified stipulation. In the special legislation, we should raise the level of the central legislation, standardize the local legislative procedures, and complement and perfect the contents of the regulations. In the supporting system of P2P network loan, the credit investigation system related to P2P network loan, the employment standard of the third party participating organization, and the industry standard of the network loan information intermediary organization and the risk control rules and regulations within the platform should be established. In order to achieve the P2P network loan risk legal control purposes.
