【摘要】：近年來,法經(jīng)濟(jì)學(xué)上的公司契約理論傳入我國,對于公司法影響深遠(yuǎn)。。由于該理論將公司視為一組契約的聯(lián)結(jié),由此引發(fā)了在理解與適用公司法時采用合同法進(jìn)路的傾向。實(shí)際上,經(jīng)濟(jì)學(xué)意義上的契約概念并不等同于法學(xué)意義上的合同概念,在程序和實(shí)體要件上都有重大區(qū)別,具有長期性、不完備性和權(quán)威要素等特殊品質(zhì)。除了公司契約論之外,還有其他關(guān)于公司和公司法本質(zhì)的理論.包括公司的團(tuán)體生產(chǎn)理論、公司社區(qū)論和公司憲政論等,對于公司契約論進(jìn)行了挑戰(zhàn)和修正,為理解和適用公司法提供了不同的視角。因此,不能對于公司法直接采用合同法的解釋和分析進(jìn)路,無論在實(shí)然還是應(yīng)然層面,契約自由原則在公司法中的適用都是有限度的,公司法體現(xiàn)出異于合同法的品性,具有其獨(dú)特的功能。
[Abstract]:In recent years, the theory of corporate contract in law and economics has been introduced into China, which has a far-reaching impact on the company law. Because the theory regards the company as a group of contracts, it leads to the tendency to adopt the contract law in understanding and applying the company law. In fact, the concept of contract in the economic sense is not equal to the contract in legal sense. Concept, there are significant differences in both procedural and substantive elements, with special qualities such as long-term, incompleteness and authority. In addition to the company contract theory, there are other theories about the nature of company and company law, including the company's group production theory, corporate community theory and corporate constitutionalism, which are challenging the theory of corporate contract. And the amendment provides different perspectives for the understanding and application of the company law. Therefore, the application of the principle of freedom of contract in the company law is limited to the interpretation and analysis of the direct adoption of the contract law by the company law. The principle of the contract freedom is limited in the company law. The company law is different from the contract law and has its unique function.
