【摘要】：類別股東分類表決制度作為對(duì)類別股東權(quán)益保護(hù)的重要形式在類別股理論研究體系中不可或缺。類別股制度隨著社會(huì)經(jīng)濟(jì)的發(fā)展和公司管理組織模式的改革而不斷變化完善,類別股制度于實(shí)踐應(yīng)運(yùn)而生,也為社會(huì)經(jīng)濟(jì)發(fā)展和公司法律制度帶來(lái)了新的契機(jī)。類別股東分類表決制度是類別股制度體系構(gòu)建中最根本的環(huán)節(jié),在構(gòu)建類別股具體股份種類理論的基礎(chǔ)上,類別股東分類表決制度將在對(duì)類別股理論體系進(jìn)一步完善的同時(shí),為其發(fā)展提供更為堅(jiān)實(shí)可靠的法理基礎(chǔ)。本文對(duì)類別股東分類表決制度的研究綜合借鑒發(fā)達(dá)國(guó)家的制度經(jīng)驗(yàn)和我國(guó)的實(shí)踐發(fā)展經(jīng)驗(yàn)來(lái)探討該制度的構(gòu)建完善,重點(diǎn)結(jié)合社會(huì)公眾股股東表決的歷史實(shí)踐討論該制度歷史發(fā)展的經(jīng)驗(yàn)教訓(xùn),更結(jié)合當(dāng)前優(yōu)先股試點(diǎn)的制度實(shí)踐尋求更適應(yīng)現(xiàn)狀的制度發(fā)展內(nèi)容。本文從內(nèi)容結(jié)構(gòu)上分為實(shí)體制度研究和程序制度研究?jī)蓚�(gè)部分,實(shí)體制度研究主要圍繞類別表決權(quán)的具體內(nèi)容設(shè)置,通過(guò)對(duì)比和討論其他發(fā)達(dá)國(guó)家有關(guān)類別股東分類表決權(quán)的內(nèi)容,來(lái)尋求我國(guó)應(yīng)選取的發(fā)展路徑,并結(jié)合我國(guó)相關(guān)實(shí)踐經(jīng)驗(yàn)和教訓(xùn)來(lái)具體剖析類別表決權(quán)實(shí)質(zhì)內(nèi)容應(yīng)考慮的邏輯要素,從而給出具體并具有實(shí)踐意義的具體內(nèi)容設(shè)置;而針對(duì)該制度的相關(guān)程序研究則緊緊圍繞類別股東大會(huì)的具體設(shè)立而展開(kāi),從類別股東大會(huì)的設(shè)立、召開(kāi)召集程序到出席表決條件等具體內(nèi)容的設(shè)置,由外及里,由粗到細(xì)來(lái)深入討論每一個(gè)程序制度內(nèi)容的構(gòu)建選取,同樣選擇借鑒國(guó)外優(yōu)秀立法經(jīng)驗(yàn)來(lái)尋求與我國(guó)公司法律制度發(fā)展現(xiàn)狀相符的制度設(shè)計(jì),并且在借鑒的同時(shí)依據(jù)我國(guó)特殊發(fā)展情況而予以合理化改善。然而對(duì)類別股東分類表決制度的研究必然要以類別股份基礎(chǔ)理論的構(gòu)建為前提,我國(guó)早期實(shí)踐中針對(duì)特殊時(shí)期出現(xiàn)的類別股份也規(guī)定過(guò)相關(guān)表決制度,然而現(xiàn)行有效且具有研究意義的無(wú)非集中在優(yōu)先股試點(diǎn)制度中,當(dāng)前對(duì)優(yōu)先股這一類別股份的內(nèi)容設(shè)計(jì)相較于其他類別股份在我國(guó)則有著更為具體的制度介紹和實(shí)踐經(jīng)驗(yàn),因此結(jié)合實(shí)踐的發(fā)展,我們也將重點(diǎn)聚焦優(yōu)先股這一類別股份在我國(guó)的制度設(shè)計(jì)尤其是優(yōu)先股股東的表決制度設(shè)計(jì)而展開(kāi)討論,以期剖析當(dāng)前制度優(yōu)勢(shì)與缺陷,從而為類別股東分類表決制度提供完善的建議。
[Abstract]:As an important form of protecting the rights and interests of class shareholders, the classified voting system is indispensable in the research system of class stock theory. With the development of social economy and the reform of company management organization mode, the system of category shares has been constantly changed and perfected. The system of category shares has emerged as the times require in practice, and has also brought a new opportunity for the development of social economy and the legal system of companies. The classified voting system of class shareholders is the most fundamental link in the construction of the system of category shares. On the basis of constructing the theory of specific types of shares in category shares, the classified voting system of classified shareholders will further improve the theoretical system of category shares at the same time. To provide a more solid and reliable legal basis for its development. In this paper, the classification voting system of category shareholders is studied to explore the construction and perfection of the system, which is based on the system experience of developed countries and the practical development experience of our country. This paper mainly discusses the experience and lessons of the historical development of the system in combination with the historical practice of the voting of the shareholders of the public stock, and seeks the content of the system development which is more suitable for the present situation in the light of the system practice of the current preferred stock pilot. This paper is divided into two parts from the content structure: substantive system research and procedural system research. The substantive system research mainly revolves around the specific content setting of category voting rights. By comparing and discussing the content of the classification voting rights of other developed countries, this paper tries to find out the development path that our country should choose. Combining with the relevant practical experience and lessons of our country, this paper analyzes the logical elements that should be considered in the substantive content of the voting right of the category, and then gives the concrete and practical setting of the specific content; And the research on the relevant procedures of the system is carried out closely around the concrete establishment of the general meeting of the class shareholders, from the setting up of the general meeting of the class shareholders, the convening procedure to the conditions of voting, etc., from outside and inside, From coarse to detailed to discuss the construction of each procedural system content selection, also choose to learn from foreign excellent legislative experience to seek the development of our company legal system in line with the current situation of the system design, And at the same time in accordance with the special development situation in China to rationalize and improve. However, the research on the classified voting system of class shareholders is bound to be based on the construction of the basic theory of class shares, and the relevant voting system has also been stipulated in the early practice of our country in view of the emergence of class shares in a special period. However, the current effective and research significance is only concentrated in the pilot system of preferred stock. At present, the content design of preferred stock is more specific than that of other kinds of shares in our country. Therefore, with the development of practice, we will also focus on the institutional design of preferred stock in China, especially the voting system of preferred stock shareholders, in order to analyze the advantages and disadvantages of the current system. Thus provides the perfect suggestion for the class shareholder classification voting system.
