我國民間融資監(jiān)管法律問題研究

【摘要】:民間融資是經(jīng)濟(jì)發(fā)展的產(chǎn)物,由于其頑強(qiáng)的生命力使得民間融資不僅在人類發(fā)展的歷史長河中留下了深刻的痕跡,而且在我國也有著悠久的歷史。眾所周知,從建國以來,我國的金融環(huán)境并不理想,其根本原因在于民間融資具有風(fēng)險(xiǎn)性高、投機(jī)性強(qiáng)、體系脆弱、缺乏規(guī)范性等缺陷,使得民間融資在實(shí)踐中一直處于法律體系之外,由此也對(duì)我國金融體系的安全、經(jīng)濟(jì)的發(fā)展和社會(huì)的穩(wěn)定帶來負(fù)面的影響。但是隨著我國經(jīng)濟(jì)的蓬勃發(fā)展,民間融資在補(bǔ)充市場資本需求、優(yōu)化資源配置等方面發(fā)揮著極其重要的作用,因此,我國對(duì)民間融資的排斥態(tài)度逐漸轉(zhuǎn)變,在2015年的政府工作報(bào)告也曾提出了將具備條件的民間資本納入金融系統(tǒng)中,建立多層次的金融體系。 由于我國法律的滯后性,未能為民間融資提供寬松、合理的法律環(huán)境,使得民間融資一直處于法律的邊緣地帶,游走在金融體系之外。因此,在法律層面上對(duì)民間融資行為進(jìn)行規(guī)制,將民間融資納入金融體系中,對(duì)其進(jìn)行合理適度的監(jiān)管,將其與正規(guī)金融體系進(jìn)行差異化監(jiān)管,保障民間融資的正常發(fā)展,杜絕非法融資活動(dòng)的頻繁發(fā)生。司法的介入不僅有助于金融監(jiān)管目標(biāo)的實(shí)現(xiàn)、解決日益增多的民間融資糾紛、防范打擊非法融資行為等,同時(shí)也可以彌補(bǔ)現(xiàn)有法律制度的漏洞以及監(jiān)管不足的現(xiàn)象。 在各國的交流和發(fā)展中,不同國家對(duì)民間融資都在立法層面以及監(jiān)管方面做了不同程度的規(guī)定,雖然我國現(xiàn)階段對(duì)于規(guī)制民間融資行為也有了一定的法律條文,但是這些條文散見于其他法律規(guī)章中,缺乏系統(tǒng)的協(xié)調(diào)性,因此要對(duì)民間融資重新界定,確認(rèn)民間融資的主體資格,完善民間融資法律責(zé)任。同時(shí)也要借鑒各國對(duì)民間融資的監(jiān)管模式,結(jié)合我國民間融資的發(fā)展現(xiàn)狀,選擇適合我國經(jīng)濟(jì)發(fā)展的監(jiān)管模式,構(gòu)建合理有效的監(jiān)管體系,對(duì)民間融資進(jìn)行適度監(jiān)管。 確定民間融資的合法地位,對(duì)民間融資進(jìn)行適度監(jiān)管,有助于促進(jìn)民間融資和金融市場的發(fā)展,也有助于完善我國現(xiàn)行法律體系,,為民間融資營造一個(gè)規(guī)范、合理的市場環(huán)境和法律保障。本文試圖從我國民間融資法律制度及監(jiān)管的現(xiàn)狀入手,站在法學(xué)的角度深入分析我國民間融資監(jiān)管層面的缺陷,運(yùn)用法理學(xué)知識(shí)對(duì)民間融資法律體系的完善以及監(jiān)管體系的構(gòu)建提出了粗糙的建議和措施,力求為民間融資法律制度的建立和監(jiān)管體系的完善貢獻(xiàn)微薄之力。
[Abstract]:Private financing is the product of economic development, because of its strong vitality makes the folk financing not only in the history of human development has left a deep mark in our country, but also has a long history. As everyone knows, since the founding of our country's financial environment is not ideal, the fundamental reason is that private financing risk high, highly speculative, fragility, lack of normative defect, making private financing in practice has been in legal system, the security of our financial system, have a negative impact on economic development and social stability. But with the vigorous development of China's economy, private financing in the capital market demand, play an extremely important role in optimizing the allocation of resources. Therefore, China's rejection of the folk financing attitude gradually changed, in 2015 the government work report has put forward The conditions of the private capital into the financial system, the establishment of a multi-level financial system.
Since the laws of our country lag, not for private financing to provide a relaxed, reasonable legal environment, the private financing has been at the edge of the law, wandering outside the financial system. Therefore, the regulation of private financing behavior in the legal level, the private finance into the financial system, reasonable moderate supervision of the with the formal financial system, differentiated supervision, to ensure the normal development of private financing, to prevent frequent illegal financing activities. Judicial intervention not only help to achieve the goal of financial supervision, to solve the increasing private financing disputes, preventing and combating the illegal financing behavior, but also can make up the existing legal loopholes and the lack of supervision.
In the exchange and development of countries in the different countries of the folk financing in legislative and regulatory provisions to do different, although our country at this stage for private financing behavior regulation has certain legal provisions, but these provisions in other laws and regulations, lack of coordination system, so to re the definition of private financing, private financing to confirm the qualification of the subject, improve civil legal responsibility. But also to learn from other countries, the supervision of private financing mode, combined with the current development of private financing in our country, choose the economic development of our country's supervision mode, build a rational and effective system of supervision, appropriate supervision of private financing.
To determine the legal status of private financing, appropriate supervision of private financing, help to promote the development of private financing and financial markets, but also help to improve China's current legal system, and create a standard for private financing, reasonable market environment and legal protection. This article attempts from the status quo of China's legal system of private financing and the supervision of station in-depth analysis of the defects of China's folk financing supervision level in view of law, construct the application of jurisprudence of the folk financing legal system and the perfection of supervision system and puts forward some suggestions to establish a rough, private financing legal system and supervision system of modest contribution.
