【摘要】：在我國(guó)證券市場(chǎng)上,上市公司及其控股股東、實(shí)際控制人等關(guān)聯(lián)方不履行公開承諾的現(xiàn)象較為突出。為了保護(hù)我國(guó)證券市場(chǎng),包括將要推出的國(guó)際板市場(chǎng)〔1〕投資者權(quán)益,有必要建立和完善上市公司及其關(guān)聯(lián)方公開承諾履行制度。該制度的建立和完善,需要將公開承諾納入《證券法》的規(guī)制范圍,便利對(duì)公開承諾履行的事前監(jiān)管;需要完善公開承諾履行情況的持續(xù)信息披露制度,對(duì)公開承諾的履行進(jìn)行事中監(jiān)管;最后,應(yīng)參照虛假陳述制度的相關(guān)規(guī)定,要求未履行公開承諾的主體實(shí)際履行,并對(duì)中小投資者承擔(dān)民事賠償責(zé)任,加強(qiáng)對(duì)公開承諾履行的事后監(jiān)管。
[Abstract]:In our country's securities market, the phenomenon that listed companies and their controlling shareholders and related parties such as actual controllers do not fulfill their public commitments is quite prominent. In order to protect the rights and interests of investors in China's securities market, including the international board market to be launched, It is necessary to establish and perfect the system of public commitment performance of listed companies and their related parties. The establishment and perfection of this system need to bring public commitments into the scope of regulation of the Securities Law to facilitate the prior supervision of the implementation of public commitments; It is necessary to improve the continuous information disclosure system for the implementation of public commitments, and supervise the implementation of public commitments. Finally, we should refer to the relevant provisions of the false statement system to require the subjects who have not fulfilled the public commitments to actually fulfill them. And to small and medium investors to bear civil liability, strengthen the implementation of public commitments after the supervision.
