【摘要】：十八屆三中全會(huì)頒布的《中共中央關(guān)于全面深化改革若干重大問(wèn)題的決定》提出積極推進(jìn)混合所有制改革,引入民營(yíng)資本參與國(guó)有企業(yè)改革,實(shí)現(xiàn)股權(quán)多元化,完善員工持股,這必然涉及國(guó)有股權(quán)轉(zhuǎn)讓。因此,在國(guó)有企業(yè)改革、國(guó)有資產(chǎn)管理、上市公司和證券市場(chǎng)的健康發(fā)展過(guò)程中國(guó)有股權(quán)轉(zhuǎn)讓必然成為了備受關(guān)注的問(wèn)題。國(guó)家授權(quán)某些特定的投資主體作為股東,來(lái)行使一種權(quán)能,并以國(guó)有資產(chǎn)來(lái)進(jìn)行投資,股東根據(jù)其在公司中的投資比例來(lái)享受收益。在遵守法律、法規(guī)和國(guó)家產(chǎn)業(yè)政策的前提下,國(guó)有股權(quán)按照經(jīng)濟(jì)市場(chǎng)規(guī)律在不同行業(yè)、產(chǎn)業(yè)和企業(yè)之間自由流動(dòng)�！豆痉ā返确煞ㄒ�(guī)的出臺(tái),為我國(guó)國(guó)有股權(quán)轉(zhuǎn)讓提供了現(xiàn)行法律依據(jù)。多年來(lái)的國(guó)有股權(quán)轉(zhuǎn)讓實(shí)踐積累了豐富的經(jīng)驗(yàn),也暴露出來(lái)一些問(wèn)題。一方面國(guó)有股權(quán)轉(zhuǎn)讓的政策法規(guī)的不協(xié)調(diào)、定價(jià)機(jī)制不合理導(dǎo)致國(guó)有股權(quán)轉(zhuǎn)讓行為不規(guī)范、程序混亂,缺乏相應(yīng)的市場(chǎng)監(jiān)管機(jī)制,造成了國(guó)有資產(chǎn)大量流失;另一方面也難以保障國(guó)有股權(quán)受讓方的合法權(quán)益。因此,如何規(guī)范國(guó)有股權(quán)的轉(zhuǎn)讓行為,完善國(guó)有股權(quán)轉(zhuǎn)讓的立法,創(chuàng)新競(jìng)價(jià)方式,規(guī)范國(guó)有股權(quán)交易和轉(zhuǎn)讓程序,加強(qiáng)市場(chǎng)監(jiān)管,防范國(guó)有資產(chǎn)流失顯得迫在眉睫。
[Abstract]:The "decision of the CPC Central Committee on deepening the Reform in an All-round way" promulgated by the third Plenary session of the 18 CPC Central Committee proposes to actively promote the reform of mixed ownership, introduce private capital to participate in the reform of state-owned enterprises, and realize equity diversification. Perfect employee stock ownership, this must involve the transfer of state-owned equity. Therefore, in the state-owned enterprise reform, state-owned assets management. In the process of the healthy development of listed companies and the securities market, the transfer of state-owned equity will inevitably become a matter of great concern. The state authorizes some specific investors to exercise a kind of power as shareholders. Under the premise of abiding by laws, regulations and national industrial policies, state-owned equity shares are in different industries according to the laws and regulations of the economic market. The introduction of laws and regulations, such as the free flow of industry and enterprises, has provided the current legal basis for the transfer of state-owned equity in China, and has accumulated rich experience in the practice of state-owned equity transfer for many years. Also exposed some problems. On the one hand, the policies and regulations of state-owned equity transfer are not coordinated, the pricing mechanism is unreasonable, resulting in the behavior of state-owned equity transfer is not standardized, the procedure is chaotic, and the corresponding market supervision mechanism is lacking. Caused the massive loss of state-owned assets; On the other hand, it is difficult to protect the legitimate rights and interests of the state-owned equity transferee. Therefore, how to regulate the transfer of state-owned equity, perfect the legislation of state-owned equity transfer, and innovate the bidding method. It is urgent to standardize state-owned equity trading and transfer procedures, strengthen market supervision and prevent the loss of state-owned assets.
