【摘要】：我國(guó)的外貿(mào)代理制在外貿(mào)領(lǐng)域已推行多年,較好地促進(jìn)了外貿(mào)業(yè)務(wù)的發(fā)展,同時(shí)也不可否認(rèn),隨著外貿(mào)業(yè)務(wù)的不斷發(fā)展,該制度在實(shí)踐中呈現(xiàn)出日益復(fù)雜的特點(diǎn),而在理論上,卻僅依據(jù)民法的若干條款和部門規(guī)章來(lái)調(diào)整生產(chǎn)企業(yè)與外貿(mào)公司的代理關(guān)系,缺乏規(guī)范、對(duì)口的法律保障,存在實(shí)踐與理論脫節(jié)的現(xiàn)象。通過(guò)對(duì)外貿(mào)代理制和1999年發(fā)布實(shí)施的新《合同法》中代理制度的關(guān)系進(jìn)行剖析,對(duì)新《合同法》與有關(guān)法律法規(guī)進(jìn)行了分析比較,明確了外貿(mào)代理制可依據(jù)新《合同法》中關(guān)于代理的規(guī)定來(lái)規(guī)范雙方的權(quán)利義務(wù)關(guān)系。
[Abstract]:China's foreign trade agency system has been carried out for many years in the field of foreign trade, which has promoted the development of foreign trade business well. At the same time, it can not be denied that with the continuous development of foreign trade business, the system has shown increasingly complex characteristics in practice, but in theory, the system has become more and more complex in practice. However, the agency relationship between the production enterprise and the foreign trade company is regulated only according to some provisions of the civil law and the department regulations. The lack of norms and the corresponding legal protection, there is a phenomenon that the practice is out of touch with the theory. Through the analysis of the relationship between the foreign trade agency system and the agency system in the new contract law issued and implemented in 1999, this paper makes an analysis and comparison between the new contract law and the relevant laws and regulations. It is clear that the foreign trade agency system can regulate the relationship between the rights and obligations of both sides according to the provisions on agency in the new contract Law.
