淺論建設(shè)工程價(jià)款優(yōu)先受償權(quán)

【摘要】: 1999年頒行的《合同法》第286條標(biāo)志著一項(xiàng)新的民事權(quán)利---建設(shè)工程價(jià)款優(yōu)先受償權(quán)的誕生。2002年6月,《最高人民法院關(guān)于建設(shè)工程價(jià)款優(yōu)先受償權(quán)問題的批復(fù)》對(duì)《合同法》第286條所規(guī)定的權(quán)利效力、行使期限等做出了明確的司法解釋,進(jìn)一步完善了這一權(quán)利。本文圍繞著建設(shè)工程價(jià)款優(yōu)先受償權(quán)出臺(tái)的背景及意義、權(quán)利性質(zhì)、構(gòu)成要件、權(quán)利范圍、法律適用、權(quán)利沖突以及我國(guó)建設(shè)工程價(jià)款優(yōu)先受償權(quán)的立法完善等七個(gè)方面對(duì)這一民事權(quán)利作了論述。 文章開篇以具體的數(shù)據(jù)和事例描述了現(xiàn)階段我國(guó)建筑領(lǐng)域施工企業(yè)工程價(jià)款被拖欠的嚴(yán)重現(xiàn)狀,以及對(duì)廣大農(nóng)民工、建筑企業(yè)、乃至整個(gè)建筑業(yè)和國(guó)民經(jīng)濟(jì)的穩(wěn)定和發(fā)展所產(chǎn)生的巨大負(fù)面效應(yīng)。通過分析比較我國(guó)建設(shè)工程價(jià)款優(yōu)先受償權(quán)出臺(tái)前后的立法狀況,指出了該權(quán)利保護(hù)弱勢(shì)群體,維護(hù)社會(huì)穩(wěn)定,實(shí)現(xiàn)法律的公平和誠(chéng)信的立法目的及意義。 文章第二章從比較法的角度和中國(guó)目前的立法現(xiàn)狀出發(fā),分別駁斥了將建設(shè)工程價(jià)款優(yōu)先受償權(quán)的性質(zhì)界定為法定抵押權(quán)和留置權(quán)的說法,著重論證了應(yīng)將該權(quán)利定性為優(yōu)先權(quán)的理論根據(jù)。 文章第三、四、五章對(duì)該權(quán)利的構(gòu)成要件、工程價(jià)款和標(biāo)的物的范圍限制、實(shí)踐中的行使條件等依次作了歸納。并結(jié)合建筑業(yè)的實(shí)際狀況,對(duì)“墊資”款和“爛尾樓”的工程價(jià)款能否享有優(yōu)先受償權(quán)等熱點(diǎn)問題進(jìn)行了深入的探討。 考慮到在實(shí)務(wù)中,建設(shè)工程價(jià)款優(yōu)先受償權(quán)常常與其他權(quán)利發(fā)生沖突,筆者在文章的第六章用整章的篇幅描述了該權(quán)利與抵押權(quán)、商品房買受人的請(qǐng)求權(quán)、稅收優(yōu)先權(quán)以及其他建設(shè)工程優(yōu)先權(quán)人之間發(fā)生競(jìng)合時(shí),各種權(quán)利的平衡和優(yōu)先次序。 最后,針對(duì)我國(guó)建設(shè)工程價(jià)款優(yōu)先受償權(quán)的立法現(xiàn)狀,筆者在參照國(guó)內(nèi)外的相關(guān)立法和專家學(xué)者的理論基礎(chǔ)上,結(jié)合本人在建筑業(yè)多年的從業(yè)經(jīng)驗(yàn),提出了設(shè)立優(yōu)先受償權(quán)登記公示制度、增強(qiáng)可操作性等多個(gè)方面完善建設(shè)工程價(jià)款優(yōu)先受償權(quán)制度的設(shè)想。
[Abstract]:Article 286 of the contract Law, promulgated in 1999, marks the birth of a new civil right-the priority right to payment of construction project price. In June 2002, the written reply of the Supreme people's Court on the issue of priority payment of Construction Project Price The validity of the rights provided for in article 286 of the contract Law, The exercise time limit makes the clear judicial explanation, further consummates this right. This article revolves around the background and significance, the nature of the right, the constituent elements, the scope of the right, and the application of the law. This civil right is discussed in seven aspects, such as the conflict of rights and the legislative perfection of the priority right of payment for construction project in our country. At the beginning of the article, with concrete data and examples, the paper describes the serious situation of the construction enterprises in our country in which the project price is defaulted at the present stage, as well as the large number of migrant workers and construction enterprises. Even the entire construction industry and the stability and development of the national economy produced a huge negative effect. By analyzing and comparing the legislative situation before and after the introduction of the preferential payment right for construction project in China, this paper points out the legislative purpose and significance of the right to protect the vulnerable groups, maintain social stability, and realize the fairness and honesty of the law. In the second chapter, from the perspective of comparative law and the current legislative situation in China, the author refutes the view that the nature of the priority right of payment for construction project is defined as legal mortgage and lien. The theoretical basis on which the right should be characterized as priority is emphatically demonstrated. The third, fourth and fifth chapters summarize the constitution of the right, the scope limitation of the project price and the subject matter, and the conditions of the exercise in practice. Combined with the actual situation of the construction industry, the hot issues such as whether the project price of "cushion capital" and "uncompleted building" can enjoy the priority of compensation are discussed in depth. In view of the fact that in practice, the priority of the construction project price is often in conflict with other rights, in the sixth chapter of the article, the author describes the right and the mortgage, the claim of the buyer of the commercial house, in the sixth chapter of the article. The balance and priority of various rights when competing between tax priority and other construction priority holders. Finally, in view of the current legislative situation of the priority right of payment of construction project price in our country, the author, referring to the relevant legislation at home and abroad and the theoretical foundation of experts and scholars, combined with my working experience in the construction industry for many years. This paper puts forward the idea of setting up the system of registering and publicizing the priority compensation right and enhancing the maneuverability and so on, and perfecting the system of the priority compensation right of the construction project price.
