網(wǎng)上購物格式條款法律問題探析

【摘要】:隨著互聯(lián)網(wǎng)的高速發(fā)展,網(wǎng)絡(luò)購物成為這個時代時尚快捷的購物方式,人們在享受這種新時代賦予的便捷的同時,也遭遇到一些問題,不合理的格式條款便是其中之一。格式條款主要是指在合同中由一方當(dāng)事人事先擬定好的,在相對方與其簽訂時不能進行協(xié)商。這種合同條款是可以重復(fù)使用的。在網(wǎng)上購物合同中大量使用格式條款,主要是由于其本身所具有的一些特點:比如不與相對人協(xié)商從而節(jié)約交易成本,方便快捷,節(jié)約交易時間等。但是任何事物都具有兩面性,網(wǎng)上購物格式條款也不例外,我們在享受方便快捷的同時也看到了它背后存在的缺陷,比如這種條款限制了契約自由原則,內(nèi)容上不夠公平,遇到侵權(quán)時救濟途徑不多等問題。隨著近年來網(wǎng)絡(luò)購物的高速發(fā)展,網(wǎng)絡(luò)購物格式條款侵權(quán)案件也一直遞增,這些將嚴重侵犯消費者的合法權(quán)益,阻礙網(wǎng)絡(luò)購物的健康發(fā)展。我國目前并沒有統(tǒng)一的電子商務(wù)法,合同法中雖有相關(guān)的法律規(guī)定,但是太過籠統(tǒng)和原則,,并不能有效地規(guī)制格式條款。本文的研究,目的在于更好地認識網(wǎng)絡(luò)購物合同中格式條款及不合理的格式條款對消費者權(quán)益的侵犯,對我國對其規(guī)制提出完善建議,以達到更好的促進網(wǎng)絡(luò)購物的發(fā)展并進一步推動經(jīng)濟的發(fā)展。 本文主要分四章對網(wǎng)絡(luò)購物格式條款相關(guān)問題進行論述: 第一章主要是對網(wǎng)上購物及格式條款的有關(guān)概念、特點等基本問題進行概述。開啟下文的進一步介紹。 第二章對格式條款訂入網(wǎng)上購物合同的積極條件和消極條件進行介紹說明,然后介紹了對網(wǎng)上購物格式條款的解釋原則,最后通過兩種典型的網(wǎng)上購物格式合同點擊合同與拆封授權(quán)合同的介紹,讓我們更加清晰地認識到網(wǎng)上購物格式條款中存在的問題從而為下文對其規(guī)制打下基礎(chǔ)。 第三章主要介紹了我國對網(wǎng)上購物格式條款的法律規(guī)制,主要介紹的是立法規(guī)制及存在的問題,為后文介紹對其完善打下基礎(chǔ)。 第四章介紹了國外對網(wǎng)上購物格式條款的法律規(guī)制,主要包括德國、美國、歐盟,通過對比得出我國網(wǎng)上購物格式條款法律規(guī)制的完善建議。具體包括立法、行政、司法救濟及其他方面。
[Abstract]:With the rapid development of the Internet, online shopping has become a fashionable and fast shopping method in this era. While enjoying the convenience given by this new era, people also encounter some problems, among which unreasonable format clauses are one of them. The formal clause mainly refers to the contract made by one party in advance, when the opposite party can not be negotiated. The terms of the contract are reusable. The use of format clauses in online shopping contracts is mainly due to its own characteristics, such as saving transaction costs by not negotiating with relative parties, being convenient and quick, and saving transaction time, etc. But everything has two sides, and online shopping format clauses are no exception. While enjoying convenience and quickness, we also see the defects behind it. For example, this kind of clause limits the principle of freedom of contract and is not fair in content. In case of infringement, there are not many remedies. With the rapid development of online shopping in recent years, the infringement cases of online shopping format clauses have been increasing, which will seriously violate the legitimate rights and interests of consumers and hinder the healthy development of online shopping. There is no uniform electronic commerce law in our country at present. Although there are some relevant legal provisions in the contract law, it is too general and principle to regulate the standard clause effectively. The purpose of this paper is to better understand the violation of consumers' rights and interests by format clauses and unreasonable format clauses in online shopping contracts, and to put forward some suggestions to improve the regulation of online shopping contracts. In order to better promote the development of online shopping and further promote economic development. This article is divided into four chapters to discuss the related issues of online shopping format clauses: The first chapter mainly summarizes the related concepts and characteristics of online shopping and format clauses. Open the further introduction below. The second chapter introduces the positive conditions and negative conditions of the form clauses into the online shopping contract, and then introduces the interpretation principles of the online shopping format clauses. Finally, through the introduction of two typical online shopping format contracts, click contract and unseal authorization contract, let us understand more clearly the problems existing in the online shopping format terms, thus laying the foundation for the following regulation. The third chapter mainly introduces the legal regulation of the online shopping format clauses in our country, mainly introduces the legislative regulation and the existing problems, which lays the foundation for the later introduction to improve it. The fourth chapter introduces the foreign legal regulation of online shopping format clauses, mainly including Germany, the United States, the European Union. It includes legislative, administrative, judicial and other aspects.
