【摘要】:情事變更制度的本質(zhì)是因客觀(guān)情事變化造成的損失,通過(guò)合同的變更或解除在雙方當(dāng)事人之間進(jìn)行合理的分配。根據(jù)變更與解除的適用程序,情事變更法律效果的構(gòu)造模式包括再交涉義務(wù)模式、二次效力模式以及或變更或解除模式。在再交涉義務(wù)模式中,再交涉義務(wù)作為實(shí)現(xiàn)合同變更或解除的途徑之一,主要目的是保障合同當(dāng)事人通過(guò)交涉達(dá)成變更合同的合意。再交涉義務(wù)是由德國(guó)學(xué)者N·Horn于上個(gè)世紀(jì)80年代提出的,一經(jīng)提出受到學(xué)界的廣泛關(guān)注,在《國(guó)際商事合同通則》以及《歐洲合同法原則》中已經(jīng)對(duì)其進(jìn)行了成文化的表述。二次效力模式主張合同的變更和解除的發(fā)生是有先后之分的,在第一次效力不能解決因情事變更導(dǎo)致的不公平結(jié)果時(shí),才發(fā)生第二次效力。這種模式通過(guò)賦予一方當(dāng)事人變更權(quán)或解除權(quán)以單方意思表示即可,有悖于合同"合意"原則。目前我國(guó)最高人民法院通過(guò)的司法解釋,確立了我國(guó)情事變更制度的或變更或解除模式。這種模式強(qiáng)調(diào)當(dāng)事人因情事變更遭受不利益的,有權(quán)請(qǐng)求法院變更或解除合同。在充分認(rèn)識(shí)我國(guó)司法現(xiàn)實(shí)的基礎(chǔ)上,最高人民法院發(fā)布的通知以及指導(dǎo)意見(jiàn),在一定程度上保障了情事變更制度的適用。本文除引言與結(jié)語(yǔ)之外,共分為四章,結(jié)構(gòu)如下:第一章主要論述了再交涉義務(wù)模式,從再交涉義務(wù)的一般理論入手,分析再交涉義務(wù)的性質(zhì)、法律地位以及法律效果。針對(duì)再交涉義務(wù)的不足進(jìn)行了分析。第二章主要論述了二次效力模式,從二次效力說(shuō)的產(chǎn)生到二次效力的結(jié)構(gòu)構(gòu)成,并且就二次效力模式存在的缺陷進(jìn)行分析。第三章主要論述了或變更或解除模式,從法官自由裁量權(quán)到最高人民法院出臺(tái)的針對(duì)情事變更案件審理的程序規(guī)定,或變更或解除模式在適應(yīng)我國(guó)司法實(shí)踐過(guò)程中出現(xiàn)的種種不良反應(yīng)。第四章主要是在總結(jié)前三章的基礎(chǔ)上,對(duì)再交涉義務(wù)在我國(guó)實(shí)施的必要性和可行性進(jìn)行分析,與我國(guó)現(xiàn)行的或變更或解除模式的比較分析,著重探討了協(xié)商程序與再交涉義務(wù)的聯(lián)系與區(qū)別,研究了在協(xié)商程序上引入再交涉義務(wù)的可行性。在此基礎(chǔ)上對(duì)我國(guó)情事變更制度的完善提出的幾點(diǎn)建議。
[Abstract]:The essence of the situation change system is the loss caused by the change of the objective situation, and the reasonable distribution between the parties shall be carried out through the change or rescission of the contract. The construction mode of legal effect of circumstance change includes renegotiation obligation model, secondary effect model and renegotiation or rescheduling mode. In renegotiation obligation model, renegotiation obligation is one of the ways to realize contract alteration or rescission. The main purpose is to ensure that the parties to the contract agree to change the contract through negotiation. The obligation of renegotiation was put forward by the German scholar N. Horn on -20s. In the General principles of International Commercial contracts and the principles of European contract Law, it has been culturally stated. The second effect occurs only when the first effect cannot resolve the unfair result caused by the change of circumstances. This mode can be expressed as unilateral intention by giving a party the right to change or rescind, Contrary to the principle of "agreement" of the contract. At present, the judicial interpretation adopted by the Supreme people's Court of our country has established the mode of alteration or dissolution of the situation in our country. The right to request the court to alter or rescind the contract. On the basis of a full understanding of the judicial reality of our country, the Supreme people's Court shall issue a notice and a guiding opinion, In addition to the introduction and conclusion, this paper is divided into four chapters, the structure of which is as follows: the first chapter mainly discusses the model of renegotiation obligation, starting with the general theory of renegotiation obligation. This paper analyzes the nature, legal status and legal effect of the renegotiation obligation, and analyzes the deficiency of the renegotiation obligation. The second chapter mainly discusses the model of the secondary effect, from the emergence of the secondary effect to the structure of the secondary effect. The third chapter mainly discusses the mode of change or rescission, from the discretion of the judge to the procedural provisions of the Supreme people's Court. The 4th chapter mainly analyzes the necessity and feasibility of implementing the renegotiation obligation in our country on the basis of summarizing the first three chapters. Comparing with the current or changing or rescinding mode in China, the paper emphatically discusses the relation and difference between the negotiation procedure and the obligation of renegotiation. This paper studies the feasibility of introducing the renegotiation obligation into the negotiation procedure, and puts forward some suggestions on the perfection of the situation change system in our country on this basis.
