【摘要】:社會經(jīng)濟迅速發(fā)展,快遞行業(yè)日漸成熟,隨之而來的是快遞服務合同糾紛日益突出。雖有《郵政法》《快遞服務國家標準》以及《合同法》運輸合同一章中的相關規(guī)定,但是司法實踐中對于快遞服務糾紛的處理仍舊沒有統(tǒng)一的判案標準,甚至針對同一爭議焦點的裁判結(jié)果都大相徑庭。要解決快遞服務糾紛中的種種問題,必須厘清其中的法律關系,明確糾紛當事人之間的權利義務關系,完善相應的法律制度,更好地規(guī)范快遞服務中的各個環(huán)節(jié)。 文章從快遞服務合同的性質(zhì)與效力著手,分析其違約責任的相關問題,著重論述快遞服務違約賠償責任的歸責原則、構成要件、免責事由以及具體賠償標準,試圖構建出一個較為完整、清晰的賠償責任體系。除了引言外,文章由四部分構成: 第一部分,快遞服務合同的性質(zhì)與效力。快遞服務合同是指寄件人與快遞服務組織之間簽訂的由快遞服務組織在承諾的時限內(nèi)將寄件人交付的物品快速寄遞給特定收件人的合同。從現(xiàn)行法來看,快遞服務合同屬于合同分則中的貨物運輸合同;從民法理論來看,除寄件人即為收件人的情形外,快遞服務合同屬于第三人利益合同。故快遞服務合同當事人之間的權利義務關系應當符合貨物運輸合同和第三人利益合同的相關法律規(guī)定和民法理論。 第二部分,快遞服務合同違約責任的構成。這部分主要從快遞服務合同違約責任的歸責原則入手,從而進一步探討快遞服務合同違約損害賠償責任的構成要件。最后根據(jù)《合同法》對貨運合同違約責任的三類免責事由的規(guī)定,即寄遞物品本身的自然性質(zhì)或合理損耗、不可抗力、寄件人或收件人的過錯,對應論述快遞服務合同違約責任。 第三部分,快遞服務合同中限制賠償問題。通過對保價運輸?shù)膰鴥?nèi)外立法介紹,分析保價運輸雖作為運輸合同的一大特點,但在目前我國快遞服務合同中運用保價制度并不公平合理。快遞運單即為快遞服務合同,快遞運單從性質(zhì)上來講是由快遞服務組織擬定的格式合同,其中均包括限制其損害賠償責任的條款,,按照《合同法》對格式條款的相關規(guī)定來認定,限額賠償條款應為無效條款。 第四部分,完善快遞服務合同違約責任制度的建議?爝f服務合同的違約責任形式包括繼續(xù)履行、采取補救措施、違約金、賠償損失等。結(jié)合司法實踐中的主要爭議點,文章著重論述賠償損失這一違約責任承擔形式,并結(jié)合違約損害賠償規(guī)則進行論述,試圖提出快遞服務合同中四種常見違約行為的損害賠償數(shù)額的確定方法,以期為司法實踐提供切實可行的建議。
[Abstract]:With the rapid development of the social economy and the maturity of express delivery industry , the contract dispute of express service is becoming more and more prominent . Although there are no uniform case standards for the handling of express service disputes in the judicial practice , it is necessary to clarify the legal relationship between the parties , clarify the relationship between the parties ' rights and obligations , perfect the corresponding legal system , and better regulate the links in express service . Starting with the nature and effectiveness of express service contract , this paper analyzes the relevant problems of the liability of breach of contract , and focuses on the principle of liability for breach of contract liability of express delivery service , the constitutive requirements , the disclaimers and the specific compensation standard , and tries to construct a more complete and clear liability system . Besides the introduction , the article consists of four parts : First part , the nature and effectiveness of express service contract . The express service contract refers to the contract between the sender and the express service organization . The express service contract belongs to the contract of the special recipient . From the current law , the express service contract belongs to the contract of the third party ' s interest . Therefore , the relationship between the rights and obligations between the parties of the express service contract should be in accordance with the relevant legal provisions and the civil law theory of the contract of goods transportation and the third party ' s interest . The second part is the composition of the contract liability of the express service contract . This part mainly starts with the principle of liability for breach of contract of express service contract , and further discusses the constitutive requirements of the liability for breach of contract of express service contract . In the third part , the limitation of the compensation in the express service contract is limited . By introducing the domestic and foreign legislation on the transportation of premium , the paper analyzes that the premium transportation is a major characteristic of the contract , but it is not fair and reasonable to apply the premium system in the express service contract . In the fourth part , the suggestion of perfecting the contract liability system of express service contract is perfected . The form of liability for breach of contract of express delivery includes continuing performance , remedial measures , liquidated damages , compensation losses , etc . In combination with the principal dispute points in judicial practice , the article focuses on the liability assumption for breach of contract and discusses the compensation amount of four common default behaviors in express service contract , with a view to providing practical advice for judicial practice .
