【摘要】：雙邊投資條約(BIT)構(gòu)成迄今為止外國(guó)投資的國(guó)際保護(hù)的最重要工具。目前,所有國(guó)家都希望通過(guò)國(guó)家和國(guó)際政策,促進(jìn)和保護(hù)外國(guó)投資,吸引投資者的興趣。許多國(guó)家減少了對(duì)外國(guó)直接投資的禁令,改善對(duì)外國(guó)投資者的待遇和保護(hù)的標(biāo)準(zhǔn),并放寬或取消對(duì)他們的行動(dòng)限制。蒙古國(guó)也不是例外。由于經(jīng)濟(jì)開(kāi)放于90年代初,為了吸引外國(guó)投資蒙古國(guó)政府采取了各種措施,創(chuàng)造一個(gè)有利于外國(guó)直接投資(FDI)的法制環(huán)境及開(kāi)始簽署蒙外雙邊投資協(xié)定。此外,聯(lián)合國(guó)貿(mào)易委員及世界銀行進(jìn)行了蒙古的投資環(huán)境分析。然而,還沒(méi)有任何國(guó)外及國(guó)內(nèi)研究關(guān)于蒙外雙邊投資協(xié)定。本文旨在概述現(xiàn)行蒙中之間的雙邊投資協(xié)定及其法律問(wèn)題,并探索如何加強(qiáng)兩國(guó)之間的雙邊投資協(xié)議。 第一部分簡(jiǎn)單總結(jié)了國(guó)際投資法概況,主要是國(guó)際投資法的概念和基本原則,雙邊投資條約的概念,類(lèi)型和作用。 第二部分簡(jiǎn)介蒙古國(guó)外國(guó)投資法律及蒙古國(guó)外資有關(guān)的政策。涉及外國(guó)投資進(jìn)入條件,形式,方式,現(xiàn)行鼓勵(lì)投資政策和投資環(huán)境及外國(guó)投資法律保障措施。 第三部分主要涉及《蒙古人民共和國(guó)政府和中國(guó)人民共和國(guó)政府關(guān)于鼓勵(lì)和相互保護(hù)投資協(xié)定》。涉及蒙中之間雙邊條約的產(chǎn)生,蒙外雙邊投資的發(fā)展。以及討論蒙中之間雙邊協(xié)定簽訂背景及蒙中之間雙邊投資協(xié)定的內(nèi)容和特點(diǎn),即定義條款,投資待遇條款,征收或國(guó)有化及其補(bǔ)償條款,轉(zhuǎn)移條款,代位條款,爭(zhēng)端解決條款。 第四部分主要分現(xiàn)行的析蒙中之間雙邊投資協(xié)定。作者認(rèn)為,兩國(guó)之間雙邊投資協(xié)定上存在一些問(wèn)題,需要完善。例如,現(xiàn)行的蒙中雙邊投資協(xié)定的定義關(guān)于”投資者”是比較一般又有限,需要改善。還有、待遇、投資擔(dān)保和投資促進(jìn)條款有關(guān)的問(wèn)題。 第五部分主要討論蒙中雙邊投資協(xié)定完善的對(duì)策,提出比較具體措施為改善雙邊投資協(xié)定。譬如,該協(xié)定需要增加待遇和完善投資促進(jìn)有關(guān)的條款,增加投資擔(dān)保條款；健全投資協(xié)定執(zhí)行機(jī)制。 我們應(yīng)注意在經(jīng)濟(jì)全球化和區(qū)域化的大勢(shì),蒙中兩國(guó)投資關(guān)系不斷拓展。因此,完善現(xiàn)行的蒙中雙邊投資協(xié)定會(huì)起到建設(shè)性作用。
[Abstract]:Bits constitute by far the most important instrument of international protection for foreign investment. At present, all countries hope to promote and protect foreign investment and attract investors' interest through national and international policies. Many countries have reduced bans on foreign direct investment, improved standards of treatment and protection for foreign investors, and relaxed or lifted restrictions on their movement. Mongolia is no exception. As the economy was opened in the early 1990s, the Mongolian government took various measures to attract foreign investment, created a legal environment conducive to foreign direct investment (FDI) and began to sign bilateral investment agreements between Mongolia and Mongolia. In addition, the United Nations Trade Commission and the World Bank carried out Mongolia's investment climate analysis. However, there is no foreign and domestic research on bilateral investment agreements between Mongolia and foreign countries. The purpose of this paper is to outline the current bilateral investment agreement between Mongolia and China and its legal problems, and to explore how to strengthen the bilateral investment agreement between the two countries. The first part briefly summarizes the general situation of international investment law, mainly the concept and basic principle of international investment law, the concept, type and function of bilateral investment treaty. The second part introduces the foreign investment laws and policies of Mongolia. Concerning the entry conditions, forms and methods of foreign investment, the current investment policy and investment environment and the legal protection measures for foreign investment. The third part mainly deals with the Agreement on encouragement and Mutual Protection of Investment between the Government of the people's Republic of Mongolia and the Government of the people's Republic of China. Involved in the emergence of bilateral treaties between Mongolia and China, the development of bilateral investment between Mongolia and foreign countries. It also discusses the background of bilateral agreements between Mongolia and China and the contents and characteristics of bilateral investment agreements between Mongolia and China, including definition clauses, investment treatment clauses, expropriation or nationalization clauses and their compensation clauses, transfer clauses, subrogation clauses, and dispute settlement clauses. The fourth part is mainly divided into the existing bilateral investment agreement between Mongolia and China. The author believes that there are some problems in bilateral investment agreements between the two countries, which need to be improved. For example, the current definition of bilateral investment treaty between Mongolia and China is relatively general and limited and needs to be improved. Also, issues related to treatment, investment guarantees and investment promotion clauses. The fifth part mainly discusses the countermeasure of improvement of bilateral investment agreement between Mongolia and China, and puts forward more concrete measures to improve bilateral investment agreement. For example, the agreement needs to increase treatment and improve the provisions related to investment promotion, to increase investment guarantee provisions, and to improve the implementation mechanism of investment agreements. We should pay attention to the trend of economic globalization and regionalization, and continue to expand investment relations between Mongolia and China. Therefore, the improvement of the existing bilateral investment agreement between Mongolia and China will play a constructive role.
