【摘要】:能源作為一國(guó)經(jīng)濟(jì)和社會(huì)發(fā)展的重要資源,在經(jīng)濟(jì)全球化的背景下,隨著世界經(jīng)濟(jì)的發(fā)展、世界人口的劇增和人們生活水平的不斷提高,其需求量也在持續(xù)增大。而隨著各國(guó)對(duì)能源需求的不斷增加,能源海外投資也在不斷發(fā)展。能源資源在地區(qū)分布上不均衡,各種能源資源的分布相對(duì)集中。而一個(gè)國(guó)家對(duì)能源的需求量往往取決于其經(jīng)濟(jì)的發(fā)展規(guī)模和發(fā)展速度以及特定經(jīng)濟(jì)部門(mén)對(duì)資源的需求,目前世界各國(guó)的經(jīng)濟(jì)形勢(shì)決定了能源資源產(chǎn)地和能源消費(fèi)中心之間并不統(tǒng)一。能源資源與能源需求之間的錯(cuò)位決定了無(wú)論從短期還是長(zhǎng)期考慮,各國(guó)要解決能源問(wèn)題必須要依靠國(guó)際投資。在此背景下,對(duì)我國(guó)能源海外直接投資問(wèn)題進(jìn)行研究是十分必要的。建立政治風(fēng)險(xiǎn)法律防范機(jī)制對(duì)于我國(guó)的能源海外投資有著重大的意義。尤其是對(duì)于我國(guó)目前對(duì)外投資法規(guī)不健全,政策不穩(wěn)定的情況下。在已制定的法規(guī)中,適用性不強(qiáng),管制型法規(guī)過(guò)多而服務(wù)型保障型太少,經(jīng)常產(chǎn)生無(wú)法可依有法難依、法規(guī)與實(shí)際脫節(jié)的現(xiàn)象。而對(duì)于能源投資的法律規(guī)制,更是少之又少。由此可見(jiàn),我國(guó)能源海外直接投資風(fēng)險(xiǎn)的法律防范體系尚未建立起來(lái),如何充分利用現(xiàn)有的國(guó)內(nèi)國(guó)際法律手段,防范我國(guó)能源海外直接投資的政治風(fēng)險(xiǎn),構(gòu)建中國(guó)自已的能源投資風(fēng)險(xiǎn)防范體系,用法律手段為我國(guó)能源企業(yè)海外投資保駕護(hù)航,這已經(jīng)是個(gè)現(xiàn)實(shí)而緊迫的問(wèn)題了 研究我國(guó)能源海外直接投資的政治風(fēng)險(xiǎn)法律防范問(wèn)題,對(duì)于我國(guó)相應(yīng)法律制度的建立和完善起到了很大的促進(jìn)意義,建立一套完善的能源對(duì)外投資防范機(jī)制對(duì)于我國(guó)而言,意義十分重大。本文從多邊投資擔(dān)保機(jī)構(gòu)、雙邊投資協(xié)定、母國(guó)海外投資法律保險(xiǎn)體系,總結(jié)出幾項(xiàng)法律防范機(jī)制。我國(guó)的能源企業(yè)在決定如何防范海外能源投資政治風(fēng)險(xiǎn)時(shí)應(yīng)當(dāng)對(duì)各種防范手段的具體做法與優(yōu)缺點(diǎn)有熟悉的把握,然而,資本輸出大國(guó)向海外進(jìn)行能源方面的投資固然也可以利用上述相應(yīng)的法律手段來(lái)防范其投資的政治風(fēng)險(xiǎn),但是他們還有一種比上述手段的防范效果都好的法律制度,那就是海外投資保險(xiǎn)制度。這種制度以本國(guó)政府為事實(shí)上的承保者,以國(guó)家主權(quán)為后盾,往往與雙邊投資保證協(xié)定相互配合,通常只對(duì)本國(guó)的海外投資者開(kāi)放,使其具有強(qiáng)大的,上述手段所不能比擬的防范效果。因此,鑒于目前我國(guó)海外投資尤其是能源的海外直接投資發(fā)展勢(shì)頭迅猛,而海外投資保護(hù)法制又十分不完善,我國(guó)的能源投資者缺乏足夠的投資安全感,所以,制定我國(guó)的官方海外投資保險(xiǎn)法律,設(shè)立海外投資保險(xiǎn)機(jī)構(gòu),尤其是加強(qiáng)對(duì)于能源方面的規(guī)制規(guī)范和保護(hù),已是我國(guó)對(duì)外投資現(xiàn)狀與趨勢(shì)的必然要求。 本文從國(guó)際投資法的基本原理著手,實(shí)證分析了我國(guó)以及世界其他國(guó)家的能源海外直接投資所面臨的政治風(fēng)險(xiǎn),并提出政治風(fēng)險(xiǎn)新的發(fā)展變化;系統(tǒng)研究了我國(guó)能源海外直接投資政治風(fēng)險(xiǎn)的法律防范,旨在通過(guò)法律的構(gòu)建與法制的完善等措施來(lái)防范我國(guó)海外能源直接投資所面臨的政治風(fēng)險(xiǎn)。 文章第一部分的內(nèi)容主要論述了我國(guó)能源海外直接投資政治風(fēng)險(xiǎn)的基本問(wèn)題,分析了我國(guó)能源海外直接投資的現(xiàn)狀和特點(diǎn),第二部分系統(tǒng)分析了國(guó)際社會(huì)防范海外能源直接投資政治風(fēng)險(xiǎn)的法律機(jī)制及其啟示;第三部分系統(tǒng)、實(shí)證分析了我國(guó)能源海外直接投資政治風(fēng)險(xiǎn)法律防范存在的缺陷。第四部分是本文的重中之重,從法律構(gòu)建和法制完善的視角來(lái)防范能源投資所面臨的政治風(fēng)險(xiǎn),具體可以從以下兩個(gè)方向分析: 一是通過(guò)完善國(guó)內(nèi)法防范我國(guó)能源海外直接投資政治風(fēng)險(xiǎn),從自身的法律改進(jìn)入手,步步為營(yíng),層層防范。具體措施有:1.完善我國(guó)海外投資法律體系,明確并合理引導(dǎo)能源企業(yè)的投資方向,2.盡快構(gòu)建我國(guó)海外投資保險(xiǎn)制度,3.創(chuàng)立完善有關(guān)能源海外投資的專門(mén)法律和制度,4.建立能源海外投資政治風(fēng)險(xiǎn)評(píng)估和預(yù)警機(jī)制。 二是有效利用國(guó)際法防范我國(guó)能源海外直接投資政治風(fēng)險(xiǎn)。積極與能源生產(chǎn)大國(guó)簽訂雙邊投資保護(hù)協(xié)定;利用《多邊投資擔(dān)保機(jī)構(gòu)公約》防范能源海外直接投資可能面臨的政治風(fēng)險(xiǎn);利用《解決國(guó)家與他國(guó)國(guó)民間投資爭(zhēng)端公約》解決海外能源投資爭(zhēng)端。
[Abstract]:With the development of the world economy , the increasing of the world ' s population and the increasing of people ' s living standards , the demand of energy resources is still increasing .
It is very important to study the legal protection of foreign direct investment in China , and to set up a perfect system of legal protection against foreign investment in our country .
This paper starts with the basic principle of international investment law , and empirically analyses the political risks faced by China and other countries in the world , and puts forward new development changes of political risk ;
The system has studied the legal protection of China ' s energy overseas direct investment political risk , aiming at preventing the political risk faced by our country ' s overseas energy direct investment through the construction of the law and the perfection of the legal system .
The first part of this article mainly discusses the basic problem of the direct investment political risk of China ' s energy overseas , analyzes the present situation and characteristics of the direct investment in China ' s energy overseas , and the second part analyzes the legal mechanism and the inspiration of the international community ' s prevention of the political risk of foreign direct investment .
The third part is a systematic and empirical analysis of the defects existing in the legal protection of China ' s energy overseas direct investment political risk . The fourth part is the focus of this article . From the perspective of legal construction and legal system improvement , we can prevent the political risk faced by energy investment , and can analyze it from the following two directions :
1 . To improve the legal system of overseas investment in China , to establish and improve the investment direction of energy enterprises as soon as possible , and to establish a special law and system for improving the overseas investment of energy sources , and 4 . Establish the political risk assessment and early warning mechanism of energy overseas investment .
Second , effective use of international law to prevent the direct investment political risk of our country ' s energy overseas .
( b ) Take advantage of the political risks that may be faced by the Multilateral Investment Guarantee Agency ( MIGA ) Convention against the direct investment in energy overseas ;
The dispute between the state and other countries ' civil investment disputes should be solved by means of dispute settlement .
