【摘要】：在同一主體的破產(chǎn)過(guò)程中，，國(guó)際破產(chǎn)債權(quán)領(lǐng)域與國(guó)際商事仲裁領(lǐng)域出現(xiàn)交叉的情況已漸趨普遍化，當(dāng)事人合意選擇仲裁與破產(chǎn)案件的法院專屬管轄之間的沖突亦不可避免地產(chǎn)生。傳統(tǒng)的破產(chǎn)理論認(rèn)為破產(chǎn)爭(zhēng)議不具有客觀可仲裁性，但隨著國(guó)際商事仲裁理論和實(shí)務(wù)的發(fā)展成熟，可仲裁事項(xiàng)范圍的開始逐漸擴(kuò)大，立法和司法實(shí)踐開始對(duì)破產(chǎn)爭(zhēng)議進(jìn)行具體劃分，其中要求確認(rèn)債權(quán)存在與否及其數(shù)額大小的債權(quán)債務(wù)爭(zhēng)議已經(jīng)在世界范圍內(nèi)獲得了越來(lái)越多的認(rèn)可而被納入可仲裁事項(xiàng)的范疇。與國(guó)內(nèi)破產(chǎn)債權(quán)仲裁相比，國(guó)際破產(chǎn)債權(quán)仲裁因所涉國(guó)家或法域及其公共利益的多重性而更為復(fù)雜。國(guó)際破產(chǎn)債權(quán)爭(zhēng)議與破產(chǎn)程序中其它類型爭(zhēng)議不同的性質(zhì)特點(diǎn)決定其具有主客觀可仲裁性，但以仲裁方式解決國(guó)際破產(chǎn)債權(quán)爭(zhēng)議時(shí)所需考慮的問題十分復(fù)雜，包括仲裁協(xié)議的效力及其法律適用、破產(chǎn)的域外效力、破產(chǎn)法在仲裁程序中的適用和仲裁裁決的承認(rèn)與執(zhí)行四個(gè)主要方面。這些問題的解決有賴于仲裁庭與破產(chǎn)法院之間的配合與協(xié)調(diào)。我國(guó)目前在國(guó)際破產(chǎn)債權(quán)仲裁方面尚缺乏專門性、系統(tǒng)性的法律規(guī)定，有待于在《破產(chǎn)法》和《仲裁法》現(xiàn)有基礎(chǔ)上對(duì)破產(chǎn)債權(quán)爭(zhēng)議的可仲裁性、破產(chǎn)的域外效力及國(guó)際破產(chǎn)仲裁裁決的承認(rèn)與執(zhí)行等方面進(jìn)行進(jìn)一步的補(bǔ)充和完善。
[Abstract]:In the process of bankruptcy of the same subject, the cross between the field of international bankruptcy creditor's rights and the field of international commercial arbitration has gradually become universal. The conflict between the parties' consensual choice of arbitration and the exclusive jurisdiction of the bankruptcy court also inevitably arises. Traditional bankruptcy theory holds that the bankruptcy dispute is not objective and arbitrable. However, with the development of the theory and practice of international commercial arbitration, the scope of the subject matter can be gradually expanded, and the legislation and judicial practice begin to divide the bankruptcy dispute. Claims and liabilities disputes, which require confirmation of the existence and size of claims, have gained more and more recognition worldwide and have been included in the scope of arbitrable matters. Compared with domestic bankruptcy claims arbitration, The arbitration of international bankruptcy claims is more complicated by the multiplicity of the countries or jurisdictions involved and their public interests. The nature and characteristics of international insolvency claims disputes are different from other types of disputes in insolvency proceedings, which make them subject and objective to arbitrability. However, the problems to be considered in the settlement of international bankruptcy claims disputes by arbitration are very complicated, including the validity of arbitration agreements and their legal application, and the extraterritorial effects of bankruptcy. The application of bankruptcy law in arbitration procedure and the recognition and enforcement of arbitral award are four main aspects. The solution of these problems depends on the cooperation and coordination between arbitral tribunal and bankruptcy court. There is a lack of specialization in this area. Systematic legal provisions, pending the arbitrability of disputes over bankruptcy claims on the basis of the bankruptcy Law and the Arbitration Act, The extraterritorial effect of bankruptcy and the recognition and enforcement of international bankruptcy arbitration award are further supplemented and perfected.
