【摘要】：在經(jīng)濟全球化的今天,吸引外資對各國經(jīng)濟發(fā)展均具有重要意義。如何公平高效地解決外國投資者和東道國之間的糾紛,在投資者和東道國二者的利益之間找到平衡點是當前國際投資領(lǐng)域的研究課題之一。作為干預(yù)投資者財產(chǎn)最主要的形式,間接征收一直是國際投資領(lǐng)域的焦點問題。關(guān)于什么樣的政府行為構(gòu)成間接征收、如何在仲裁實踐中具體認定東道國的行為是否構(gòu)成間接征收等問題,因為涉及到投資者和東道國的利益博弈而頻惹紛爭。一方面,國家基于主權(quán)享有對外國投資者財產(chǎn)的征收權(quán),這是傳統(tǒng)國際法規(guī)則和國際投資法律實踐的共識。另一方面,隨著國際經(jīng)濟一體化進程的推進,各國紛紛通過締結(jié)雙邊投資協(xié)定和區(qū)域性投資條約,營造安全穩(wěn)定的國內(nèi)投資環(huán)境以吸引外資。全球投資活動升溫,使東道國和投資者之間關(guān)于間接征收的矛盾逐漸突顯。本文將討論的主題限定在間接征收的定義、表現(xiàn)形式、具體類型等問題,從國際條約的沿革展開,結(jié)合國際條約、雙邊投資協(xié)定和國際仲裁實踐,落腳于ICSID投資仲裁實踐對間接征收領(lǐng)域的貢獻和局限性,從中國的自身立場出發(fā),分析關(guān)于間接征收定義和認定標準的爭議,以及間接投資在我國國內(nèi)和國際層面的未來發(fā)展方向。
[Abstract]:In today's economic globalization, attracting foreign capital is of great significance to the economic development of all countries. How to solve the disputes between foreign investors and host countries fairly and efficiently, Finding a balance between the interests of the investor and the host country is one of the current research topics in the field of international investment. Indirect expropriation has always been a focal issue in the field of international investment. On the one hand, a country enjoys the right to expropriate the property of a foreign investor on the basis of sovereignty, which is a common understanding of the traditional rules of international law and the practice of international investment law. With the advancement of international economic integration, countries have created a safe and stable domestic investment environment through the conclusion of bilateral investment agreements and regional investment treaties in order to attract foreign investment. The contradiction between the host country and the investor about indirect expropriation is gradually highlighted. This paper focuses on the definition, manifestation and specific types of indirect expropriation, starting from the evolution of international treaties and combining with international treaties. Bilateral investment agreement and international arbitration practice, based on the contribution and limitation of ICSID investment arbitration practice to indirect expropriation, from China's own standpoint, this paper analyzes the disputes about the definition and standard of indirect expropriation. And the future development direction of indirect investment at domestic and international level.
