【摘要】：本文基于實(shí)證考察的基礎(chǔ)上 ,對(duì)WTO背景下外資主體進(jìn)入中國(guó)資本市場(chǎng)的路徑選擇和方式 ,以及所涉及的風(fēng)險(xiǎn)管理法律框架進(jìn)行了全面和深入的分析 ,指出了外資主體進(jìn)入中國(guó)資本市場(chǎng)所面臨的公司法、證券法、外匯管理法、并購(gòu)法等的法律困境 ,以及監(jiān)管機(jī)構(gòu)和司法機(jī)關(guān)等所存在的問題。
[Abstract]:Based on the empirical investigation, this paper makes a comprehensive and in-depth analysis of the path choice and mode of foreign investors entering China's capital market under the background of WTO, as well as the legal framework of risk management involved, and points out the legal difficulties faced by foreign investors in entering China's capital market, such as company law, securities law, foreign exchange management law, merger and acquisition law, as well as the problems existing in regulatory institutions and judicial organs.
