【摘要】：正清末與北洋政府時(shí)期的公司法19世紀(jì)晚期,近代中國(guó)雖已有股份公司的設(shè)立和股票發(fā)行,但依據(jù)的僅是"國(guó)際約章,立案合同,試辦的奏咨和批準(zhǔn)的章程",沒有國(guó)家制定的法規(guī)可以遵循。1904年3月1日,清政府頒布《公司律》,規(guī)定公司欲發(fā)行股票必須呈報(bào)商部注冊(cè)"方能刊發(fā)股票,違者股票作廢",同時(shí)還要求"每股銀數(shù)至少以五圓為限,惟可分期繳納","股份銀數(shù)必須劃一,不得參差"。清末《公司律》是中國(guó)歷史上第一部涉及證券內(nèi)容的法律制度,具有開創(chuàng)性的歷史意義。但晚清《公司律》對(duì)股票
[Abstract]:The Company Law of the late Qing Dynasty and the Beiyang Government period in the late 19th century, although there were already the establishment and stock issuance of joint-stock companies in modern China, only on the basis of the International Charter, filing contracts, trial consultation and approved articles of association, no laws and regulations formulated by the state could be followed. On March 1, 1904, the Qing government promulgated the Law of the Company, which stipulated that companies must submit shares to the Ministry of Commerce for registration. The violator's stock shall be annulled, and at the same time, "the number of silver per share shall be limited to at least five yuan per share, provided that it may be paid in installments". "the number of shares of silver must be uniform and shall not be mixed." At the end of Qing Dynasty, the Law of Company is the first legal system involving securities content in Chinese history, which has groundbreaking historical significance. But in the late Qing Dynasty, the Law of the Company was on the stock.
