【摘要】：2008年德國對其《有限責任公司法》進行了一次全面的修訂,通過對隱性實物出資、往返出資等這些舊的規(guī)定及判例體系的改革,以及有限責任公司授權資本制度的引入,德國有限責任公司對投資者的吸引力被大大提高了,但同時在一定程度上弱化了對德國有限責任公司債權人利益的保護。
[Abstract]:In 2008, Germany made a comprehensive revision to its Company Law of Limited liability, through the reform of the old regulations and jurisprudence system, such as implicit physical and round-trip investment, as well as the introduction of the authorized capital system of the limited liability company. German LLC's attractiveness to investors has been greatly enhanced, but at the same time, it has weakened the protection of the interests of German LLC creditors to a certain extent.
