【摘要】：公司是世界范圍內(nèi)最為重要的企業(yè)形式,它所涉及的利益主體眾多,法律關系復雜,且承擔了極為重大的社會責任。公司關系不穩(wěn)定,極易產(chǎn)生大量的訴訟和社會問題。而有限責任公司是一種人合性較強的公司,在公司關系的穩(wěn)定性上有更嚴格的要求。隱名股東的大量出現(xiàn),對有限責任公司的安全、有效運作產(chǎn)生了很大影響。 隱名股東出現(xiàn)的原因多樣,對隱名股東的界定學界也有分歧。在本文中,筆者將隱名股東定義為,實際出資認購股份,但委托他人代為顯名持有,而未被股東名冊、公司章程或工商登記等公司登記文件記載為公司股東的人。它的出現(xiàn)有當事人出于規(guī)避與非規(guī)避法律、法規(guī)兩種意圖。對涉及隱名股東法律糾紛的解決,首先,學界對隱名股東資格的認定形成了四種主要學說,分別是實質說、形式說、實際控制人說、區(qū)別說。其中筆者更傾向于形式說。另外我國現(xiàn)有法律并未對隱名股東作出明確規(guī)定,僅有《公司法司法解釋三》有相應的條文。內(nèi)容主要涉及：隱名出資的有效性、名義股東私自處分股權的有效性及瑕疵隱名出資時的責任承擔。除此之外,還有部分高級人民法院作出了專門規(guī)定。 然而,由于現(xiàn)有規(guī)范的缺陷,現(xiàn)有的規(guī)范并不能徹底的解決隱名股東的問題。因此,本文試在隱名股東基本理論研究的基礎上,在現(xiàn)有規(guī)范的指引下,通過對涉及隱名股東法律糾紛的理論現(xiàn)狀及立法現(xiàn)狀進行評析,結合指導該類糾紛的原則及減少該類糾紛的預防措施,以期從各角度出發(fā),更好的解決隱名股東法律糾紛的問題。
[Abstract]:The company is the most important enterprise form in the world. It involves many main bodies of interest, the legal relationship is complex, and it bears the extremely important social responsibility. Company relation is unstable, easy to produce a large number of litigation and social problems. The limited liability company is a kind of company with strong personality, which has more strict requirements on the stability of the company relationship. The emergence of anonymous shareholders has a great impact on the safety and effective operation of limited liability companies. Hidden shareholders appear for a variety of reasons, the definition of dormant shareholders also has differences. In this paper, the author defines the dormant shareholder as the person who actually subscribes to the shares, but entrusts others to hold them on behalf of others, but is not recorded as the shareholder in the register of shareholders, the articles of association or the company registration documents such as industrial and commercial registration. The appearance of it has two kinds of intention: circumvention and non-circumvention laws and regulations. For the settlement of legal disputes involving dormant shareholders, first of all, the academic circles have formed four main theories on the qualification of dormant shareholders, namely, substantive theory, form theory, actual controller theory, and difference theory. The author is more inclined to the formal theory. In addition, the existing law of our country does not make explicit provisions for the dormant shareholders, only the Company Law interpretation III has the corresponding provisions. The content mainly involves: the effectiveness of anonymous capital contribution, the validity of nominal shareholder's private disposition of equity and the responsibility of defective anonymous contribution. In addition, some higher people's courts have made special provisions. However, due to the defects of the existing norms, the existing norms can not completely solve the problem of hidden shareholders. Therefore, on the basis of the basic theoretical research of hidden shareholders, under the guidance of existing norms, this paper analyzes the current theoretical and legislative status of the legal disputes involving dormant shareholders. Combined with the principles of guiding this kind of disputes and the preventive measures to reduce such disputes, the author hopes to solve the legal disputes of hidden shareholders better from various angles.
