【摘要】： 公司是一個(gè)利益體,通過(guò)投資來(lái)獲得分紅是股東進(jìn)行投資的基本目標(biāo),也是其應(yīng)得的基本權(quán)利,因此股利分配制度是股東權(quán)的一個(gè)非常重要的核心內(nèi)容,在一般情況下,公司應(yīng)當(dāng)不得限制或剝奪股東的分紅權(quán),否則,是無(wú)法實(shí)現(xiàn)股東的根本利益的。作為公司制度的重要組成部分,股利分配制度的完善關(guān)系到公司法上各個(gè)主體的利益,從而成為平衡這些利益的重要工具。因此,本文從實(shí)踐中公司股東分紅權(quán)所存在的問(wèn)題出發(fā),從股東分紅權(quán)的基礎(chǔ)性問(wèn)題談起,參考國(guó)外的相關(guān)法律制度,研究我國(guó)現(xiàn)有公司法中對(duì)于股東分紅權(quán)的保護(hù)程度以及不足等問(wèn)題展開(kāi)討論,并試圖對(duì)我國(guó)現(xiàn)有公司法將來(lái)的修改提出一些前瞻性建議。以期能解決我國(guó)公司法在實(shí)踐中已經(jīng)遇到,或?qū)⒁龅降膯?wèn)題,從而對(duì)維護(hù)社會(huì)主義市場(chǎng)經(jīng)濟(jì)體制起到積極的作用。
[Abstract]:The company is a benefit body, it is the basic goal that the shareholder carries on the investment through the investment to obtain the dividend, also is its deserved basic right. Therefore, the dividend distribution system is a very important core content of the shareholder's right, in the general situation, the dividend distribution system is a very important core content of the shareholder's right, in the general situation, Companies should not limit or deprive shareholders of the right to dividends, otherwise, it is impossible to achieve the fundamental interests of shareholders. As an important part of the company system, the perfection of dividend distribution system is related to the interests of each subject in the company law, thus becoming an important tool to balance these interests. Therefore, from the point of view of the problems existing in the practice of shareholders' right to dividends, this paper begins with the basic problems of shareholders' right to share out dividends, and refers to the relevant legal systems abroad. This paper studies the protection degree and insufficiency of shareholders' dividend right in the present company law of our country, and tries to put forward some forward-looking suggestions for the future revision of the present company law. In order to solve the problems that our company law has met or will meet in practice, it will play an active role in maintaining the socialist market economy system.
