【摘要】:自上世紀(jì)20年代以來,企業(yè)社會(huì)責(zé)任運(yùn)動(dòng)伴隨經(jīng)濟(jì)全球化于發(fā)達(dá)國(guó)家不斷興起,國(guó)外學(xué)界對(duì)此進(jìn)行了持續(xù)而廣泛的研究。鑒于該運(yùn)動(dòng)所形成和發(fā)展的背景是企業(yè)的日益巨型化所引發(fā)的不斷嚴(yán)重的社會(huì)問題,所以,國(guó)內(nèi)外學(xué)界的相關(guān)研究也主要是針對(duì)大企業(yè)以及大企業(yè)所引發(fā)的社會(huì)問題日趨嚴(yán)重而提出的,所提供的對(duì)策也基本上是針對(duì)大企業(yè)的要求,很少涉及中小企業(yè)的社會(huì)責(zé)任問題。在經(jīng)濟(jì)全球化的當(dāng)今時(shí)代,中小企業(yè)對(duì)社會(huì)經(jīng)濟(jì)發(fā)展所起到的作用也日益明顯,其所引發(fā)的社會(huì)問題(尤其是負(fù)面問題)已不容忽視。在倡導(dǎo)經(jīng)濟(jì)健康、可持續(xù)發(fā)展的今天,不論是為了社會(huì)公益,還是為了自身的生存發(fā)展,中小企業(yè)都應(yīng)適時(shí)適度地承擔(dān)相應(yīng)的社會(huì)責(zé)任。 中小企業(yè)履行社會(huì)責(zé)任離不開健全的法制規(guī)范。雖然我國(guó)《公司法》、《合伙企業(yè)法》、《產(chǎn)品質(zhì)量法》、《消費(fèi)者權(quán)益保護(hù)法》、《勞動(dòng)法》、《勞動(dòng)合同法》、《環(huán)境保護(hù)法》等法律直接或間接地涉及到包括中小企業(yè)在內(nèi)的企業(yè)社會(huì)責(zé)任,其中《合伙企業(yè)法》、《公司法》更是明確規(guī)定企業(yè)(公司)應(yīng)承擔(dān)社會(huì)責(zé)任,但是,這些立法規(guī)定或者過于原則,或者未以企業(yè)社會(huì)責(zé)任理念來統(tǒng)籌設(shè)計(jì)從而顯得零散,或者因監(jiān)督機(jī)制缺乏而實(shí)施乏力。由此可見,我國(guó)中小企業(yè)社會(huì)責(zé)任法制建設(shè)還極為薄弱。鑒此,本文采用比較研究與實(shí)證分析等方法,擬對(duì)中小企業(yè)社會(huì)責(zé)任法律問題作深入探討。 除引言和結(jié)語(yǔ)外,全文共分為6個(gè)部分。 第一部分是對(duì)中小企業(yè)社會(huì)責(zé)任的一般詮釋。本部分在考察和分析學(xué)術(shù)界關(guān)于企業(yè)社會(huì)責(zé)任的定義的基礎(chǔ)上,對(duì)企業(yè)社會(huì)責(zé)任作出筆者的界定,即:企業(yè)社會(huì)責(zé)任是指企業(yè)在謀求股東利潤(rùn)最大化之外所負(fù)有的維護(hù)和增進(jìn)社會(huì)利益的義務(wù),具體為對(duì)所有非股東利益相關(guān)者所負(fù)有的維護(hù)和增進(jìn)其利益的義務(wù)。同時(shí),本部分立足調(diào)研資料所反映的實(shí)際,對(duì)“中小企業(yè)社會(huì)責(zé)任”的內(nèi)涵及范圍作出界定。 第二部分涉及的是中小企業(yè)承擔(dān)社會(huì)責(zé)任的狀況問題。首先對(duì)中小企業(yè)社會(huì)責(zé)任缺失的表現(xiàn)進(jìn)行總結(jié),如漠視員工權(quán)益、忽視環(huán)境保護(hù)、產(chǎn)品服務(wù)質(zhì)量不高、缺乏慈善責(zé)任意識(shí)等,進(jìn)而分別從理論與實(shí)踐層面,以法學(xué)的視角,深入分析中小企業(yè)社會(huì)責(zé)任角色缺失的深層次原因。 第三部分是對(duì)中小企業(yè)承擔(dān)社會(huì)責(zé)任的正當(dāng)性及可行性進(jìn)行分析。明確了中小企業(yè)承擔(dān)社會(huì)責(zé)任的正當(dāng)性在于:首先,中小企業(yè)作為企業(yè),是多方利益相關(guān)者相互作用的綜合體,非股東利益相關(guān)者并不像傳統(tǒng)理論所假定的那樣脫離了所謂的企業(yè)風(fēng)險(xiǎn),其次,中小企業(yè)提供的產(chǎn)品和服務(wù)具有貼近人們?nèi)粘I畹奶攸c(diǎn),對(duì)整個(gè)社會(huì)的穩(wěn)定起著關(guān)鍵性的作用,因此,中小企業(yè)應(yīng)當(dāng)承擔(dān)社會(huì)責(zé)任。同時(shí),中小企業(yè)承擔(dān)社會(huì)責(zé)任將有助于企業(yè)的生存發(fā)展,有助于企業(yè)走出國(guó)門,有助于市場(chǎng)經(jīng)濟(jì)健康發(fā)展,并因此促進(jìn)中小企業(yè)自身的發(fā)展。 第四部分是對(duì)我國(guó)中小企業(yè)社會(huì)責(zé)任相關(guān)立法的梳理與評(píng)價(jià)。我國(guó)現(xiàn)行《公司法》、《合伙企業(yè)法》、《產(chǎn)品質(zhì)量法》、《消費(fèi)者權(quán)益保護(hù)法》、《勞動(dòng)法》、《勞動(dòng)合同法》、《環(huán)境保護(hù)法》等法律法規(guī)對(duì)企業(yè)社會(huì)責(zé)任作了某些規(guī)定,但這些規(guī)定或過于原則、缺乏可操作性,或立法效力缺乏普遍適用性,總之,目前我國(guó)關(guān)于企業(yè)社會(huì)責(zé)任的立法缺乏統(tǒng)一的理念,而專門針對(duì)中小企業(yè)社會(huì)責(zé)任的立法仍屬空白。 第五部分是對(duì)構(gòu)建我國(guó)中小企業(yè)社會(huì)責(zé)任法律制度的建議。本部分首先介紹美歐企業(yè)社會(huì)責(zé)任法運(yùn)動(dòng)的相關(guān)知識(shí),從而總結(jié)出其對(duì)我國(guó)企業(yè)社會(huì)責(zé)任法運(yùn)動(dòng)的啟示。之后提出我國(guó)中小企業(yè)社會(huì)責(zé)任法律制度構(gòu)建的基本思路,即,首先要解決包括中小企業(yè)在內(nèi)的企業(yè)社會(huì)責(zé)任的一般的立法體例問題;其次要以企業(yè)社會(huì)責(zé)任為導(dǎo)向調(diào)適中小企業(yè)治理結(jié)構(gòu);再次要建立并完善中小企業(yè)社會(huì)責(zé)任的激勵(lì)機(jī)制。 第六部分,建立完善中小企業(yè)社會(huì)責(zé)任的外部監(jiān)督機(jī)制。鑒于中小企業(yè)相較大企業(yè)而言社會(huì)責(zé)任意識(shí)更加淡漠,而調(diào)適企業(yè)治理結(jié)構(gòu),建立其社會(huì)責(zé)任的內(nèi)部監(jiān)督機(jī)制對(duì)中小企業(yè)來說難度較大,故而欲落實(shí)中小企業(yè)社會(huì)責(zé)任,除應(yīng)通過宣傳、教育等方式強(qiáng)化中小企業(yè)的社會(huì)責(zé)任感外,更應(yīng)注重中小企業(yè)社會(huì)責(zé)任法律制度的實(shí)施,而其關(guān)鍵又在于中小企業(yè)社會(huì)責(zé)任監(jiān)督體系的建立與完善。為此,本文將對(duì)中小企業(yè)踐行社會(huì)責(zé)任的監(jiān)督主體、保障途徑等問題展開研究。
[Abstract]:Since the 20s of last century, the movement of corporate social responsibility (CSR), with economic globalization in developed countries, has been continuously and extensively studied by foreign academics. In view of the background of the formation and development of the movement, the serious social problems caused by the increasing giant of the enterprise, therefore, the relevant research at home and abroad It is also put forward mainly for the serious social problems caused by large enterprises and large enterprises. The countermeasures are also basically aimed at the requirements of large enterprises and seldom involve the social responsibility of small and medium-sized enterprises. In the present era of economic globalization, the role of small and medium enterprises in social economic development is increasingly obvious, The social problems (especially the negative problems) caused can not be ignored. In advocating economic health and sustainable development, small and medium enterprises should take appropriate social responsibility in time, whether for social public welfare or for their own survival and development.
The implementation of social responsibility for small and medium-sized enterprises is inseparable from the sound legal norms. Although the law of the company, the partnership enterprise law, the product quality law, the consumer protection law, the labor law, the labor contract law, and the environmental protection law directly or indirectly involve the corporate social responsibility including small and medium enterprises, including the partnership law. >, < Company Law > is more clear that the enterprise (company) should bear social responsibility, but these legislative provisions or too principles, or not with the concept of corporate social responsibility as a whole, appear scattered, or lack of supervision because of the lack of supervision mechanism. Thus, the construction of social responsibility legal system in China's small and medium-sized enterprises is very weak. In this paper, comparative study and empirical analysis are used to explore the legal issues of SMEs' social responsibility.
In addition to the introduction and conclusion, the full text is divided into 6 parts.
The first part is the general interpretation of the social responsibility of small and medium-sized enterprises. On the basis of the investigation and analysis of the definition of the social responsibility of the enterprise, the author defines the social responsibility of the enterprise, that is, the corporate social responsibility refers to the meaning of maintaining and enhancing the social interests of the enterprise in the pursuit of the maximization of the maximization of the profit of the shareholders. At the same time, this part defines the connotation and scope of "the social responsibility of small and medium enterprises" based on the facts reflected in the survey data.
The second part involves the situation of social responsibility for small and medium-sized enterprises. First, it summarizes the performance of the lack of social responsibility for small and medium-sized enterprises, such as ignoring the rights and interests of the employees, ignoring the environmental protection, the quality of the product service is not high, the lack of the consciousness of charitable responsibility and so on, and then from the theoretical and practical level, and in the perspective of law, it analyzes the middle and small size in depth. The deep reasons for the lack of role of corporate social responsibility.
The third part is to analyze the legitimacy and feasibility of the small and medium-sized enterprises to undertake social responsibility. It is clear that the legitimacy of the small and medium-sized enterprises to bear social responsibility lies in the following: first, small and medium-sized enterprises, as enterprises, are the complex of multi stakeholder interaction, and the non shareholder stakeholders are not as divorced from the traditional theory as assumed. Secondly, the products and services provided by small and medium enterprises have the characteristics that close to people's daily life, and play a key role in the stability of the whole society. Therefore, small and medium-sized enterprises should bear social responsibility. At the same time, the social responsibility of small and medium-sized enterprises will help the survival and development of enterprises and help enterprises to go out of the country. Contribute to the healthy development of the market economy, and therefore promote the development of SMEs themselves.
The fourth part is the combing and evaluation of the relevant legislation on social responsibility of small and medium enterprises in China. The current laws and regulations, such as the company law, the partnership enterprise law, the product quality law, the consumer protection law, the labor law, the labor contract law, the environmental protection law, etc., have made some provisions on the corporate social responsibility, but these regulations or too principles, The lack of operability, or the lack of universal applicability of the legislative effect, in short, the current legislation on corporate social responsibility in our country lacks a unified concept, and the legislation specifically aimed at the social responsibility of small and medium-sized enterprises is still a blank.
The fifth part is the proposal to build the legal system of social responsibility of small and medium enterprises in our country. This part first introduces the related knowledge of the movement of corporate social responsibility law in the United States and Europe, and summarizes its enlightenment to the social responsibility law movement of China's enterprises. After that, the basic ideas of the construction of the legal system of social responsibility for small and medium-sized enterprises in China are put forward, that is, first of all, To solve the general legislative problem of corporate social responsibility, including small and medium enterprises, the second is to adjust the governance structure of small and medium-sized enterprises with the guidance of corporate social responsibility, and to establish and improve the incentive mechanism for the social responsibility of small and medium-sized enterprises.
The sixth part, establishing and perfecting the external supervision mechanism of the social responsibility of small and medium-sized enterprises. In view of the small and medium enterprises' social responsibility consciousness is more indifferent, and the adjustment of the corporate governance structure and the establishment of the internal supervision mechanism of its social responsibility is difficult for the small and medium enterprises, so it is necessary to carry out the social responsibility of small and medium-sized enterprises. Publicity, education and other ways to strengthen the sense of social responsibility of small and medium enterprises should pay more attention to the implementation of the legal system of social responsibility for small and medium-sized enterprises, and the key is to establish and improve the supervision system of the social responsibility of small and medium-sized enterprises. This paper will study the subject of the supervision of the social responsibility of small and medium enterprises and the ways of ensuring the social responsibility.
