【摘要】：在現(xiàn)代企業(yè)制度中,小股東往往處于弱勢地位,對其利益如何進行有效保護,長期以來一直是公司法所關(guān)注的重點;尤其是在有限責任公司中,由于其成立和運行具有人合性和封閉性的特點,因此股東之間的權(quán)力失衡狀態(tài)更為嚴重,支配股東憑借手中多數(shù)表決權(quán)壓迫小股東的情形層出不窮。有鑒于此,在我國公司立法中建立各種保護與救濟小股東權(quán)益的制度和措施顯得相當必要。本文旨在通過對我國《公司法》中有關(guān)公司解散請求權(quán)規(guī)定與英國公司法中有關(guān)"不公平妨礙"訴訟制度的比較研究,指出我國《公司法》在公司解散請求權(quán)規(guī)定方面的不足之處,并嘗試提出完善建議。
[Abstract]:In modern enterprise system, minority shareholders are often in a weak position. How to protect their interests effectively has been the focus of company law for a long time, especially in limited liability companies. Because its establishment and operation have the characteristics of human being and closeness, the imbalance of power among shareholders is more serious, and the situation of dominating shareholders oppressing minority shareholders with the majority of voting rights in their hands is endless. In view of this, it is necessary to establish various systems and measures to protect and remedy the rights and interests of minority shareholders in our company legislation. The purpose of this paper is to make a comparative study on the litigation system of "unfair obstruction" in Chinese Company Law and in the British Company Law. This paper points out the deficiencies of the Company Law in the provision of the right of company dissolution, and tries to put forward some suggestions to improve it.
