【摘要】：新《公司法》將公司注冊(cè)資本實(shí)繳登記制改為認(rèn)繳登記制,增加了債權(quán)人對(duì)于股東實(shí)物出資的調(diào)查成本及交易風(fēng)險(xiǎn)。本文結(jié)合一起執(zhí)行糾紛案,分析了股東實(shí)物出資不實(shí)及濫用股東權(quán)利的行為特征與風(fēng)險(xiǎn),提示商業(yè)銀行信貸主體管理的新風(fēng)險(xiǎn)點(diǎn)。商業(yè)銀行應(yīng)結(jié)合《公司法》規(guī)定,細(xì)化完善信貸管理制度,加強(qiáng)對(duì)信貸主體的資產(chǎn)、組織結(jié)構(gòu)及治理情況的審查監(jiān)管,一旦出現(xiàn)風(fēng)險(xiǎn)充分利用法律手段追究股東責(zé)任。
[Abstract]:The new Company Law changes the registration system of registered capital into the subscription registration system, which increases the investigation cost and transaction risk of the shareholders' real capital contribution.This paper analyzes the behavior characteristics and risks of shareholders' real capital contribution and abuse of shareholders' rights, and suggests a new risk point of credit subject management in commercial banks.According to the provisions of Company Law, commercial banks should refine and perfect the credit management system, strengthen the examination and supervision of the assets, organizational structure and governance of the credit subject, and make full use of the legal means to investigate the shareholders' responsibility once the risks arise.
