【摘要】：正一、股東瑕疵出資行為的認定瑕疵出資,是指股東履行出資不符合法律和公司章程的規(guī)定,存在缺陷,包括對出資義務(wù)的不履行和不適當履行。二、瑕疵出資下股東資格的認定和解除(一)股東資格的認定股東資格即股東成為公司的一員所應(yīng)當具備的條件,一般認為股東必須為完全民事行為能力人,無行為能力或限制行為能力人不能成為股東。一些國家還對股東的國籍和居住地做出了限制,如意大利公司法規(guī)定,公司發(fā)起人雖不一定具有意大利國籍,但在外國人持有意大利公司30%以上股份時,須經(jīng)意大利財政部批準;挪威公司法規(guī)定,
