【摘要】：2014年《公司法》對(duì)公司資本制度作出了重大修改,由"法定實(shí)繳制"改為"認(rèn)繳登記制",這一修改雖然活躍了市場(chǎng),鼓勵(lì)了投資,但是公司債權(quán)人的利益保護(hù)以及與原有法律制度如何銜接則成為亟需解決的現(xiàn)實(shí)問(wèn)題。比較法定實(shí)繳制與認(rèn)繳登記制下債權(quán)人利益的保護(hù),可以發(fā)現(xiàn)兩種制度在債權(quán)人利益保護(hù)上均存在不足。域外不同法系國(guó)家和地區(qū)的資本制改革歷程和債權(quán)人利益保護(hù)措施可以為我國(guó)立法實(shí)踐提供良好的借鑒。針對(duì)我國(guó)當(dāng)前的資本信用環(huán)境,在認(rèn)繳資本制下,我國(guó)應(yīng)采取事前監(jiān)管措施和事后防范手段,加強(qiáng)公司信息動(dòng)態(tài)監(jiān)控,設(shè)置出資催繳程序,對(duì)于特定行業(yè)強(qiáng)制投保責(zé)任險(xiǎn),同時(shí),引入衡平居次原則,以保護(hù)債權(quán)人的利益。
[Abstract]:In 2014, the Company Law made a major amendment to the company capital system, which was changed from the "statutory paid-in system" to the "subscription registration system." although this amendment has activated the market and encouraged investment, However, how to protect the interests of the creditors of the company and how to link up with the original legal system has become a practical problem that needs to be solved. It can be found that there are shortcomings in the protection of creditors' interests in the two systems. The reform course of capital system and the protection measures of creditors' interests in countries and regions with different extraterritorial legal systems can provide a good reference for the legislative practice of our country. Regarding the current capital credit environment in China, Under the capital subscription system, China should take prior supervision measures and preventive measures after the event, strengthen the dynamic monitoring of company information, set up the procedure of capital contribution call, force insurance against liability for specific industries, at the same time, introduce the principle of equalization of residence. To protect the interests of creditors.
