【摘要】： 近年來,主權(quán)財(cái)富基金發(fā)展迅速,成為國(guó)際投資領(lǐng)域重要參與者,但主權(quán)財(cái)富基金在法律界定、治理結(jié)構(gòu)、信息披露和風(fēng)險(xiǎn)管理等方面的法律制度尚不健全,仍需進(jìn)一步完善。在國(guó)際立法層面,主權(quán)財(cái)富基金的國(guó)際統(tǒng)一立法還處于起步階段,大部分立法努力尚未形成正式的法律文件。對(duì)我國(guó)而言,關(guān)注這些立法活動(dòng)的動(dòng)態(tài),并努力適應(yīng)這些法律趨勢(shì),對(duì)完善我國(guó)主權(quán)財(cái)富基金的治理無疑具有十分重要的意義。 除引言和結(jié)語外,全文共分為三個(gè)部分。 第一章重點(diǎn)介紹了主權(quán)財(cái)富基金的概念、法律特征以及發(fā)展趨勢(shì),分析了主權(quán)財(cái)富基金產(chǎn)生的影響。指出雖然主權(quán)財(cái)富基金發(fā)展迅速,在國(guó)際投資領(lǐng)域扮演了重要角色,但目前國(guó)際社會(huì)對(duì)主權(quán)財(cái)富基金的法律定義缺乏統(tǒng)一的認(rèn)識(shí),這勢(shì)必對(duì)主權(quán)財(cái)富基金的跨境投資造成不利影響。 第二章主要對(duì)主權(quán)財(cái)富基金治理的法律模式和投資接受國(guó)針對(duì)主權(quán)財(cái)富基金的法律規(guī)制進(jìn)行探討。通過比較分析世界上較為成熟的主權(quán)財(cái)富基金,為我國(guó)提供借鑒,完善我國(guó)主權(quán)財(cái)富基金的治理模式；通過對(duì)歐盟和美國(guó)等主要投資接受國(guó)的國(guó)內(nèi)相關(guān)法律和政策的研究和分析,為我國(guó)主權(quán)財(cái)富基金在世界范圍內(nèi)的投資提供參考意見,規(guī)避投資風(fēng)險(xiǎn)。 第三章闡述了主權(quán)財(cái)富基金的國(guó)際統(tǒng)一立法的趨勢(shì),比較分析了主權(quán)財(cái)富基金在國(guó)際貨幣基金組織、經(jīng)濟(jì)合作與發(fā)展組織、世界貿(mào)易組織這三種框架下進(jìn)行國(guó)際統(tǒng)一立法的現(xiàn)實(shí)性和可能性,并對(duì)我國(guó)在主權(quán)財(cái)富基金國(guó)際立法過程中應(yīng)堅(jiān)持的立場(chǎng)提出了相關(guān)建議。
[Abstract]:In recent years, sovereign wealth funds have developed rapidly and become important participants in the field of international investment. However, the legal system of sovereign wealth funds in the areas of legal definition, governance structure, information disclosure and risk management is not yet sound. At the level of international legislation, the international uniform legislation of sovereign wealth funds is still in its infancy, and most of the legislative efforts have not yet formed a formal legal document. For our country, we are concerned about the development of these legislative activities. And to adapt to these legal trends is undoubtedly of great significance to the improvement of the governance of sovereign wealth funds in China. In addition to the introduction and conclusion, the full text is divided into three parts. The first chapter focuses on the concept, legal characteristics and development trend of sovereign wealth funds, analyzes the impact of sovereign wealth funds, and points out that although sovereign wealth funds have developed rapidly, they have played an important role in the field of international investment. However, there is a lack of uniform international understanding of the legal definition of sovereign wealth funds, which is bound to have a negative impact on cross-border investment of sovereign wealth funds. The second chapter mainly discusses the legal model of sovereign wealth fund governance and the legal regulation of sovereign wealth fund in recipient countries. Through comparative analysis of the more mature sovereign wealth fund in the world, it provides reference for our country. To perfect the governance model of China's sovereign wealth fund, to provide reference for China's sovereign wealth fund investment in the world through the research and analysis of the relevant domestic laws and policies of the major recipient countries such as the European Union and the United States. Avoid investment risk. The third chapter describes the trend of international uniform legislation of sovereign wealth funds, and compares and analyzes sovereign wealth funds in the International Monetary Fund, the Organization for Economic Cooperation and Development, the International Monetary Fund, the International Monetary Fund, the International Monetary Fund and the Organization for Economic Cooperation and Development. The reality and possibility of international uniform legislation under the three frameworks of WTO are put forward, and some suggestions are put forward on the position that our country should adhere to in the process of international legislation of sovereign wealth fund.
