【摘要】：中國(guó)證監(jiān)會(huì)要求上市公司設(shè)立獨(dú)立董事時(shí),沒(méi)有對(duì)獨(dú)立董事的民事責(zé)任及其限制作出特別規(guī)定。2001年,ST鄭百文陸姓獨(dú)立董事因財(cái)務(wù)欺詐事件而被罰款10萬(wàn)元,其狀告證監(jiān)會(huì)的主要理由就是處罰過(guò)重,由此引發(fā)了社會(huì)各界對(duì)獨(dú)立董事責(zé)任輕重的激烈爭(zhēng)論。隨著新公司法中可訴性條款的增加,有關(guān)獨(dú)立董事民事責(zé)任問(wèn)題很快就會(huì)顯現(xiàn)出來(lái)。由于獨(dú)立董事在上市公司中的地位與職責(zé)不同,過(guò)嚴(yán)過(guò)重的責(zé)任制度安排,既不公平也欠合理。因此,獨(dú)立董事的民事責(zé)任應(yīng)當(dāng)有別于其他董事,并予適當(dāng)減輕和限制。對(duì)此,歐美國(guó)家未有定論,而日本近年修法以及2005年新公司法的成果值得借鑒。
[Abstract]:When the CSRC required listed companies to set up independent directors, they did not make special provisions on the civil liability of independent directors and their restrictions. In 2001, St Zheng Baiwen Lu, surnamed independent director, was fined 100,000 yuan for financial fraud. Its main reason for suing the CSRC is that the punishment is excessive, which has led to a heated debate about the degree of responsibility of independent directors. With the increase of actionable provisions in the new Company Law, The civil liability of independent directors will soon come to light. Because the independent directors have different roles and responsibilities in listed companies, the over-strict and excessive liability system arrangement is neither fair nor reasonable. The civil liability of independent directors should be different from that of other directors and should be appropriately mitigated and restricted. There is no conclusion in Europe and the United States, but the achievements of Japan's recent amendments to the Law and the new Company Law in 2005 are worthy of reference.
