【摘要】：正2005年《公司法》的修訂,是對原公司法的充實和完善,是對公司法的一次改革,是全面性、根本性的大修大改。新公司法在公司治理方面有了重大的新增和調(diào)整內(nèi)容,特別顯著的是對監(jiān)事會的職權(quán)和作用有了不少的增加與強(qiáng)化,成為修訂后公司法的最大亮點之一。
